Midlevel Corporate M&A Associate — Corporate (multiple U.S. offices)

Top-tier national law firm is seeking a midlevel Corporate M&A associate to join its transactional team. The role is open across multiple U.S. offices and offers exposure to a broad range of buy- and sell-side M&A work, including private equity transactions.

Successful candidates will handle drafting and negotiating merger agreements, stock and asset purchase agreements, letters of intent, and related documents; conduct due diligence; and work on partnership, JV and LLC matters. The team also advises on representation & warranty insurance and general corporate/entity issues.

The position includes active mentoring, increasing client responsibility, and opportunities to work closely with senior deal lawyers. Candidates should be self-starting, collaborative, and committed to high-quality client service.

• 3–5 years of corporate/M&A transactional experience (private equity experience preferred)
• Proven drafting, negotiating, and deal-closing experience with merger, stock purchase, and asset purchase agreements
• Experience conducting legal due diligence and advising on partnership/JV/LLC matters
• Familiarity with representations & warranties insurance a plus
• Strong academic background, excellent communication skills, and ability to work independently and in teams
