Private Equity Attorney

Am law firm is seeking a 3rd to 6th year associate to join its corporate practice, with a focus on private equity and M&A transactions. The role offers the opportunity to work directly with private equity sponsors and portfolio companies in a dynamic, team-oriented environment.

• Draft and negotiate purchase and merger agreements, LLC and LP agreements, and ancillary transaction documents.
• Advise on day-to-day matters for private equity fund and portfolio company clients, including corporate governance.
• Play a lead role as an extension of client business teams, providing strategic and business judgment.
• Manage multiple projects with strong attention to detail and organizational skills.

Ideal candidates will have excellent academic credentials, prior large-firm experience working with private equity sponsors, and strong drafting, writing, analytical, verbal, interpersonal, and project management skills.

• 3–6 years of experience in private equity and M&A within a large law firm.
• Experience drafting and negotiating purchase and merger agreements, LLC and LP agreements, and other transactional documents.
• Excellent drafting, writing, and analytical skills.
• Strong attention to detail, organizational, verbal, and interpersonal skills.
• Good business and strategic judgment, with the ability to work as an extension of client teams.
• Excellent academic credentials.
