Private Equity M&A Associate — Corporate, Philadelphia

Top-tier corporate team seeks a mid-level to senior associate with experience in private equity transactions to join its Philadelphia office. The role focuses on buyouts, leveraged recapitalizations, growth equity and venture investments, and exits, with frequent work on equity-based compensation matters.

Successful candidates will work collaboratively on deal teams and handle substantive components of transactions independently. The group values commercial judgment, clear written and verbal communication, and the ability to manage relationships with clients and outside counsel.

Candidates must be able to provide a deal sheet and have relevant bar admission or prompt eligibility to obtain admission.

• 3+ years' corporate/private equity transactional experience
• Proven M&A experience including leveraged buyouts, recapitalizations, growth equity, venture and exit transactions
• Experience with equity-based compensation and deal documentation
• Strong business sense, client-management skills and excellent written and oral communication
• Outstanding academic credentials and comparable law-firm experience
• Relevant bar admission or eligibility and a current deal sheet
