An established corporate asset management practice is seeking an experienced Private Funds Associate to join its Chicago office. The role focuses on advising clients on the formation, structuring, and operation of private investment funds across a broad range of asset classes and strategies, including private equity, hedge, credit, venture capital, and other alternative investment vehicles.

The associate will draft and negotiate core fund formation documents, counsel fund sponsors and institutional investors on governance, economics, and co-investment terms, and provide ongoing transactional and advisory support throughout the fund lifecycle. Work also includes fund restructurings, secondary transactions, continuation vehicles, and fund wind-downs.

The position involves close collaboration with partners, clients, and cross-practice teams, as well as regulatory analysis on securities law matters, registration and exemption questions, anti-money laundering requirements, and related filings. Associates are expected to manage multiple concurrent matters and to coach and mentor junior team members.

  • Juris Doctor from an accredited law school.
  • Bar admission in the relevant jurisdiction or eligibility for prompt admission.
  • Minimum of two years of substantive private investment fund experience at a national or global law firm.
  • Strong knowledge of securities laws and regulations, including the Securities Act, Exchange Act, Investment Advisers Act, and Investment Company Act.
  • Demonstrated drafting and negotiation experience with fund formation documents.
  • Familiarity with fund economics, including management fee structures, carried interest mechanics, waterfall calculations, and investor reporting.
  • Strong analytical, written, and verbal communication skills, with the ability to manage multiple time-sensitive matters and mentor junior associates.
