Project Finance / Tax Equity Associate or Senior Associate — Energy

Seeking an associate or senior associate to join a national energy-focused tax credits and project finance practice. The role sits on transactional teams working across debt project financings and tax equity structures for renewable and clean energy infrastructure.

Day-to-day work includes drafting and negotiating credit agreements, collateral and intercreditor arrangements, tax equity documents and tax credit sale documentation, and conducting due diligence on offtake, EPC, supply and O&M contracts. The position involves cross-office collaboration, partner mentorship and early client contact.

Strong deal flow in the energy-transition and infrastructure space provides exposure to multi-tranche financings combining debt, tax equity and tax credit-transfer components; experience with data center financings, private credit, LNG or tax credit transferability is a plus.

• J.D. and admission-ready; class of 2022 or earlier (4+ years' relevant transactional experience).
• Significant transactional experience in one or both: debt project finance (credit agreements, collateral, intercreditor) and tax equity financings (ITC/PTC structures, tax credit sales).
• Comfort with diligence and negotiation of offtake, EPC, supply and O&M contracts.
• Experience in renewables/clean energy infrastructure; exposure to tax credit transferability, data centers, LNG or private credit is advantageous.
