Senior Corporate Paralegal

A leading international law firm is seeking a collaborative, detail-oriented Senior Corporate Paralegal to join its Corporate and Securities practice group. This role involves supporting attorneys and clients on a wide range of high-level corporate and transactional matters, with a focus on public and private company securities compliance and corporate governance.

Working with minimal supervision, you will assist with securities filings, entity formation and maintenance, due diligence, and closing management for financings, mergers, and acquisitions. You will also maintain confidential client records, coordinate with attorneys, clients, vendors, and paralegal teams, and help deliver an exceptional client experience across multiple industries.

This is a hybrid position open across several U.S. office locations. • 7–10 years of experience as a corporate paralegal supporting public and privately held companies
• Four-year degree in a related field or equivalent experience
• Proficiency with Section 16 filing platforms such as EDGAR, hCue, and Workiva, and capitalization-management platforms such as Carta and Shareworks
• Knowledge of California and Delaware corporate law, federal and state securities laws, and Rule 701 analysis
• Strong organizational, analytical, and communication skills, with sound judgment and discretion
• Advanced technical skills in Microsoft Office, Adobe Acrobat, proofreading, redlining, and timekeeping
• Preferred: paralegal certificate or degree; experience in IPO or SPAC; experience with secured lending
