An established law firm is seeking a highly qualified senior attorney to join its Technology group in San Francisco, with a concentration on Blue Sky securities matters.

The role involves advising clients on federal securities law exemptions, state Blue Sky laws, broker-dealer regulations, and related compliance matters. The attorney will also support securities offerings, private company financings, investment funds, capital markets transactions, and other securities matters.

Significant experience advising on federal securities law exemptions, state Blue Sky laws, broker-dealer regulations, and related compliance matters
Strong working knowledge of Regulation D, Section 4(a)(2), Rule 701, Regulation A, Rule 144, and applicable state securities requirements
Experience preparing and overseeing Form D and state securities filings through the NASAA Electronic Filing Depository (EFD)
Experience supporting securities offerings, private company financings, investment funds, and capital markets transactions
Outstanding academic credentials, comparable law firm experience, and excellent written and verbal communication skills
Relevant bar admission (or eligibility to obtain admission promptly) and a deal sheet are required
