Guide · In-house hiring calendar

Bonus timing is a company start-date question.

How many 2026 in-house hires close before bonus, how many after, and what a wrong start date costs the company that times the seat against the lawyer's cash instead of its own.

The 2026 count behind when to move law firms does not exist.

A New York general counsel wants a before-bonus versus after-bonus count for 2026 hires. That split is not published. Sartori maps roughly 67,000 New York lawyers. Across the same interview cohort that sits behind the accordion, the expensive miss is a fourth-quarter opening aimed at a January start.

Posture · Q4 open, January start You are buying a collision with December cash.

The requisition is approved. The start is written as 2 January. The lawyer is still inside the prior firm's bonus year. Without a make-whole, the start slips, or the offer dies. Fund the cash or move the date.

The postures above are how a company actually times a seat. The dated calendars are laid out below.

02 The calendars that exist

A company times against cash dates and a departure half, not a slogan.

The experienced-hire year has a measured shape. Student recruiting has another. A chief legal officer who copies the second onto the first misses the people already on a payroll.

No public 2026 dataset splits closed hires into before bonus versus after bonus. The sentence is the finding. What a head of legal can time against is dated.

NALP Foundation’s Update on Associate Attrition for calendar 2025, released 21 April 2026 from 141 participating U.S. and Canadian firms, recorded 4,442 associate departures. Fifty-two percent of those departures sat in the first half of the year, 48 percent in the second. Monthly levels ran between 6 and 10 percent of the year’s departures. That is not a start-date-versus-bonus census. It is the closest published shape of when experienced lawyers actually leave, and it sits just after prior-year cash. Overall attrition was 19 percent, down from 20 percent in 2024. A record 83 percent of 2025 leavers had been at the firm five years or less. The same release counted 6,335 associate hires, of which 3,296 experienced hires exceeded 3,039 entry-level seats. A company hiring an associate general counsel or senior counsel out of those desks is hiring from the experienced column, not the campus column.

The cash date that sets U.S. scale expectations is not a mystery. Above the Law, on 18 November 2025, reported that Cravath announced 2025 year-end and special bonuses, with New York and D.C. associates paid on 12 December 2025. ABA Journal, on 19 November 2025, published the combined class-year table and a lock-in example: associates who started at McDermott Will & Schulte after 1 August did not receive year-end bonuses. A company that writes a 15 August start from that platform is not negotiating culture. It is walking the hire off a published cash line. Mid-year is not a quiet season either. Above the Law, on 27 July 2026, reported Milbank special bonuses to associates and special counsel globally, payable on or before 31 August 2026, on top of ordinary year-end. Base raises at that platform took effect 1 July 2026. A July start is a cash conversation. So is a December one.

The campus calendar is a different machine, and it moved earlier. NALP’s Perspectives on 2025 Law Student Recruiting, released 26 January 2026, found that 85 percent of offers for 2026 2L summer programs were extended before July 2025, against 34 percent before July the prior year. May was the most common offer month (36 percent), then June (29 percent), then April (15 percent). Employer-sponsored recruiting produced 80 percent of offers. That clock belongs to summer programs. A general counsel who copies it onto an experienced in-house search is aiming at a room that is empty. The seniority question — which class year is actually movable — is a different page: the mid-level window owns it. Resignation mechanics sit on how to resign from a law firm. This page owns the company’s start date.

Volume around that start date was not small. Firm Prospects’ 2025 Am Law 200 report, issued 26 January 2026, counted 13,214 experienced hires into those firms, including 7,686 associates. SurePoint’s 2025 State of the Legal Industry Report, using Leopard Solutions data, put the same universe at 13,460, up 8.8 percent. They are different databases. This page does not average them. Either total is the pool a New York chief legal officer is hiring from, not a reason to wait. Citi Hildebrandt’s 2026 Client Advisory, covering nine months of 2025, named New York the most important U.S. expansion market for the sampled firms. That is why the envelope on this page is New York even though the geo of the question is global: it is where the experienced desk the company buys from is thickest.

03 What mistiming costs

The cash unit is a published bonus line, not a vacancy slogan.

A company that times the seat wrong pays in three currencies: firm cash the hire will not walk from, company STI the hire may miss, and hours that sit empty into a softer tape. Only the first two have published dollar lines.

The honest cost of a mistimed start is the cash the calendar is made of. ABA Journal, on 19 November 2025, put Cravath’s combined 2025 year-end-plus-special awards at $26,000 for the class of 2024, $40,000 for 2023, $72,500 for 2022, $95,000 for 2021, $115,000 for 2020, $130,000 for 2019 and $140,000 for 2018. A company that asks a class-of-2022-scale mid-level to start before 12 December 2025 is asking that lawyer to walk away from $72,500 of announced cash, or to demand a make-whole of that order. That addition is the published lines, not a new study. SHRM replacement-cost multiples were not retrieved from a SHRM page for this article; they are omitted. The bonus table is the cost unit a head of HR can take to finance.

The company runs a parallel year. ACC and Empsight’s 2025 Law Department Compensation Survey, data effective 1 March 2025, published 16 September 2025 from 1,632 U.S. respondents, reports median STI paid at $16,000 for Attorney, $33,000 for Senior Attorney, $65,000 for Associate General Counsel, $82,000 for Deputy General Counsel and $91,000 for GC/CLO. STI in that survey is the actual bonus paid in the current year for the prior full year’s performance. Sixty-three percent of GC/CLO respondents were LTI-eligible; median total target direct compensation at that seat was $503,000. Chief legal officers at companies with revenue above $5 billion earned 44 percent more base than those at companies under $1 billion. Non-promoted merit averaged 3.5 percent. A 3.5 percent merit bump does not replace a $72,500 walk-away. A November start can forfeit firm cash and miss the company’s prior-year STI if the hire is not employed on the bonus-eligible date. Two clocks. Two seats.

The third currency has no tidy dollar and is still the one boards feel. Thomson Reuters Institute and Georgetown Law, in the 2026 Report on the State of the US Legal Market dated 7 January 2026, put full-year 2025 demand for the average sampled firm at 1.9 percent, with weekday-adjusted demand as high as 4.4 percent in July 2025. Direct lawyer-compensation spend rose 8.2 percent. The Financial Insights outlook in the same PDF points to a steep drop-off of growth into 2026, with the middle of the year slipping into contraction; figure labels include 2.4 percent, 1.7 percent, minus 0.7 percent, minus 0.7 percent and minus 0.4 percent. Eighty-six percent of general counsel in that research see legal as a significant contributor; nearly 90 percent say resource limits block the impact the business expects. A company that delays a 2026 general counsel or AGC hire from the first quarter into mid-year, to wait for bonus season on the firm side, is delaying into that forecast. The vacancy cost sits on the company while the experienced alternatives may already be softening.

Deal work does not wait for the forecast either. London Stock Exchange Group figures, via Global Legal Post on 3 July 2026, put worldwide announced M&A at $2.85 trillion in the first half of 2026, up 50 percent, the strongest opening half in LSEG records back to 1980. Deal count was more than 24,500, down 9 percent, a six-year low. Value concentrated: 48 mega-deals above $10 billion totaled $1.3 trillion. U.S.-target volume was $1.5 trillion, 54 percent of global value. A chief legal officer staffing an in-house M&A seat against that tape is staffing against fewer, larger files, not against December. The FOMC implementation note of 29 October 2025 had already lowered the funds target to 3¾ to 4 percent. The capital cycle that pulled those seats onto the calendar is a 2025 easing story, not a bonus story.

Median short-term incentive actually paid, U.S. in-house titles. These are survey medians for prior-year performance, paid in the current year — the company-side cash unit a mistimed start can miss. They are not a make-whole schedule for firm year-end cash.

ACC and Empsight, 2025 Law Department Compensation Survey Executive Summary; 1,632 U.S. respondents; data effective 1 March 2025.

Cravath-scale combined year-end plus special cash, 2025 cycle, by class year. This is the firm-side cash unit a company make-whole is buying. Class of 2022 is the mid-level a company most often tries to hire as in-house senior counsel or AGC.

ABA Journal, 19 November 2025, restating the Cravath 2025 year-end and special table.

Three cost units a general counsel can take to a compensation committee. Firm cash and company STI are published survey or announcement lines. Empty-chair hours are a forecast, not a dollar.

On the cash unit
04 Two desks

The company is hiring out of two pools, on two clocks.

An in-house seat is filled from the residual corporate bar, from experienced lawyers leaving firms, and sometimes from government. Only one of those three waits on December cash.

The lawyers a general counsel is hiring sit in two desks, and the residual is larger than most boards assume. The Association of Corporate Counsel’s U.S. in-house population series, using a Bureau of Labor Statistics residual through 2024, puts in-house lawyers at 145,000 in 2024, up from 78,000 in 2008, an 87 percent rise against 23 percent at firms over the same span. New York held 23,200 of them in 2024. The method treats every non-firm, non-government lawyer as in-house; it is a band, not a census. BLS Occupational Employment and Wage Statistics for May 2023 still put the largest employer of lawyers in Legal Services, at 445,110, with Management of Companies and Enterprises — the holding-company and headquarters legal desk — at 22,110. May 2025 OEWS Table 1 put U.S. lawyer employment at 754,500 and mean annual wages at $185,840. The Occupational Outlook Handbook uses a different employment concept (864,800 in 2024, median wage $151,160 in May 2024); those two employment counts are not one survey.

Where firm leavers go is the second pool. NALP Foundation’s calendar-2024 attrition update, released 24 April 2025 from 119 firms, found that 18 percent of associate departures next took a corporate in-house seat, up from 15 percent in 2023; 41 percent went to another firm as an associate. The 2025 free release does not publish the destination split; this page does not invent one. ACC and Empsight, in the same compensation survey effective 1 March 2025, found 77 percent of respondents had prior law-firm experience and 17 percent said they were likely to change jobs in the coming year. A company opening an AGC seat is usually hiring someone who has already sat on a firm desk, which is why the firm cash date still sets the company’s start. Latham & Watkins’ own experienced-lawyer careers pages, accessed 11 September 2026, still gate a corporate M&A and private-equity associate seat at a minimum of two years (join as a third-to-fifth-year) and a data-and-technology transactions seat at a minimum of three years. Those are employer pages, not a job board. They are the class years a head of legal is actually buying from.

The third pool does not wait for bonus. Reuters, on 29 January 2026, citing the U.S. Office of Personnel Management, reported that 8,599 licensed attorneys left federal service between the January 2025 inauguration and November, a net decline of 6,524 after new hires. The Am Law 200 hired 1,129 attorneys in 2025 who had left federal service the same year. A company hiring investigations, antitrust or regulatory counsel in-house from that outflow is hiring after they have already left government — often mid-year, and bonus-insensitive. SurePoint’s 2025 report put federal and state government lawyers at 7 percent of the 2025 experienced-hire pool, against 4 to 5 percent in prior years. That is a supply shock on the policy calendar, not the Cravath calendar.

England and Wales is a reminder that “in-house” is already a large share of the profession outside the U.S. scale bonus machine. The Law Society’s annual statistics report for 2023, page dated 23 January 2025, counted 35,738 in-house solicitors as of July 2023, 22 percent of certificate holders. A UK legal-director start in October collides with certificate renewal, not with 12 December. The London NQ base — Magic Circle at £150,000 on Legal Cheek’s 29 September 2025 list — is a different cash unit and is not this page’s calendar; the London salary page owns those bands.

The in-house hire arrives into the company’s fiscal year, not the firm’s bonus season.

  • STI pays for last year. ACC defines the bonus as amounts paid now for the prior full year. A January start can still catch it if the plan pays by 15 March.
  • LTI and clawback follow fiscal years. A listed-company chief legal officer sits inside Rule 10D-1’s three-year recovery window on incentive pay. A December cash true-up is not the whole package.
  • Part 522 is admission status. A New York in-house start still needs the registration if the hire is not NY-admitted, whatever date finance wrote on the offer.
  • The head of HR owns the bonus-eligible date. If that date is not in the offer letter, the company has not actually timed the seat.

The experienced desk the company is hiring from still runs December cash and an August special.

  • Year-end cash is a date, not a season. New York and D.C. scale cash in the 2025 cycle landed on 12 December. A 2 January start is after that date; a 15 November start is not.
  • Lock-in can sit in August. At least one platform paid no year-end bonus to associates who started after 1 August. Read the offer against that cutoff, not against “bonus season.”
  • The heavier departure half follows cash. The first half of 2025 carried more associate departures than the second. That is a pool, not a reason to leave a live seat empty.
  • Campus months are not this desk. Spring 2L offers time a summer class. They do not time the AGC hire.
05 Clocks that ignore bonus

Admission, incentive tax and the docket do not move with December cash.

A 2 January start can clear bonus and still miss the statute that actually gates whether the lawyer can work. The 2026 docket moved several in-house seats onto calendars that bonus season does not appear on.

The 2026 hiring year a chief legal officer times against is not only lock-in. Dated events moved which seats opened and when. CRS Legal Sidebar LSB11398, dated 23 February 2026, records that on 1 February 2025 the President invoked IEEPA for tariffs on imports from Canada, Mexico and the PRC, and that on 2 April 2025 a second emergency supported worldwide tariffs. In-house international-trade, government-affairs and CLO seats at importers ran through calendar 2025 on that work. Then the Supreme Court, in Learning Resources, Inc. v. Trump and Trump v. V.O.S. Selections, Inc., on 20 February 2026, held that IEEPA does not authorize the President to impose tariffs. The Court of International Trade, not D.D.C., has jurisdiction over the tariff suits. Section 232 and Section 301 were not before the Court. A dissent flagged that the United States may be required to refund billions of dollars to importers. That is a first-quarter 2026 start for CIT and refund specialists at company trade desks. It does not wait for year-end cash. Government-affairs seats do not pause: after the decision, new tariffs were proclaimed under Section 122 of the Trade Act of 1974.

Merger-control timing moved in the other direction. The Department of Justice Antitrust Division, on 23 July 2026, returned to targeted Second Request investigations under the HSR Act and published a model timing agreement, to expedite merger review. In-house M&A and antitrust counsel are pulled earlier into live deals on a faster clock. A company that staffs that seat after summer 2026 is staffing into that clock, not into bonus season. Technology regulation has its own date. Regulation (EU) 2024/1689 became generally applicable on 2 August 2026. Prohibitions and AI-literacy obligations applied from 2 February 2025; GPAI obligations from 2 August 2025. The AI Omnibus, in force 27 July 2026, postponed Annex III high-risk systems — including employment and CV-sorting — to 2 December 2027. From 2 August 2026 the AI Office and Member State authorities enforce, and transparency rules apply. A 2026 in-house privacy or AI-governance seat is inventory, classification, vendor clauses and labeling, not a wait-until-2027 problem, and not a December-bonus problem. High-risk employment-AI build is a 2026–27 hiring window for AGC and senior counsel.

Structural clocks still gate a start date after bonus has cleared. 22 NYCRR Part 522 requires a non-New-York-admitted lawyer employed by a non-governmental New York entity that is not itself practicing law to register as in-house counsel, with an officer, director or general counsel affidavit. Scope is legal services to that employer and affiliates; no tribunal appearances that would need pro hac vice; termination of the registration when employment ends, with a 30-day window to a successor employer. A New York company that times a CLO or AGC start for 2 January to clear bonus still has a Part 522 filing if the candidate is not NY-barred. The gate is admission status, not 12 December. For England and Wales, SRA individual renewals for 2026/27 run 1 to 31 October 2026, replacement date 31 October; in-house solicitors with a certificate must make the continuing-competence declaration. Remaining on the roll without a certificate was available only 1 April to 28 May 2026. A UK in-house start in October must underwrite bulk renewal. These are statutory calendars.

Public-company incentive recovery is a fiscal-year clock, not a bonus-season clock. Exchange Act Rule 10D-1, adopted 26 October 2022 and effective 27 January 2023, directs exchanges to require listed issuers to recover incentive-based compensation from current and former executive officers after an accounting restatement, covering the three completed fiscal years before the restatement date, with no indemnification of the officer. A listed-company chief legal officer who starts mid-year still sits inside that window. Make-wholes and sign-on equity need 10D-1 and 409A review. Treas. Reg. § 1.409A-1(b)(4) treats a payment as a short-term deferral, not deferred compensation, if it is received on or before the last day of the applicable two-and-a-half-month period — for calendar-year employees and employers, 15 March of the following year. A January start can still catch company STI if the plan pays by that date. A November start can miss it. The general counsel salary guide is where the package is priced. This page is where the calendar decides whether the package actually pays.

06 New York in-house telemetry

Fourth-quarter openings are how we miss the company’s date.

Sartori has worked the New York in-house market for more than ten years. The files that blow a start date are not mysterious. They are Q4 openings aimed at January, without a make-whole the compensation committee will sign.

Sartori & Partners has worked the New York in-house market for more than ten years, for listed issuers, sponsor-backed platforms and large private companies. Over the trailing three years the desk closed 24 in-house searches, 93 percent of them completed, on a typical four-to-seven-month clock, with a median of 16 working days from offer to acceptance. Counter-offer incidence on that line is 28 percent. The global research programme behind those files maps nearly 1.5 million lawyer profiles and has run quarterly surveys since 2019. The uncomfortable number is not the completion rate. Of those 24 closed files, 11 were opened in the fourth quarter against a January start; seven of those 11 slipped a start date past 1 January because the company would not fund a make-whole of year-end cash. Five of the 24 ran past the seven-month outer bound of our typical timeline. Those five completed. They completed on the lawyer’s calendar, not the company’s. Mandate telemetry records offer dates. It does not see inside the company’s STI plan. Eligibility dates on that plan are a hole in our own data.

The 24 files partition by seat, not by slogan: eight general counsel or chief legal officer searches, seven deputy general counsel, nine associate general counsel or senior counsel. Of those nine AGC and senior-counsel seats, six started in the first half of the year — the half NALP Foundation shows carrying more associate departures after cash. Across the same New York interview cohort, 48 of 112 general counsel, chief legal officers and heads of legal interviewed over a 24-month window named a fourth-quarter opening as the reason a requisition they had already approved slipped into the following calendar year. A separate cut of that cohort, 86 heads of HR and talent directors at companies over the same 24 months, included 51 who said the start date was set by finance around year-end close rather than by the legal requisition. The offer-to-acceptance window on the closed files is short. The start is not.

Direct testimony matches the telemetry. A general counsel at a New York-listed industrial told Sartori the board had approved an associate general counsel, trade and government-affairs seat in October, written a 2 January start, and refused a make-whole sized to the hire’s year-end cash; the chair was still empty in February, when the IEEPA holding landed and the refund file had no owner. A head of HR at a PE-backed healthcare platform told Sartori they would rather wait until after 15 March than fund a make-whole they could not explain to the sponsor — and they did wait; that deputy general counsel file opened in January, accepted in 16 working days, and went live in five months. Two composites, same envelope. The first is the miss this page is for. The second is the posture that treats January as a pool, not a superstition.

The counter-offer on this line is usually cash, not title. On the 24 closed New York in-house files, the 28 percent counter-offer incidence most often arrived as a make-whole of year-end cash or a retention bonus tied to the firm’s remaining bonus year, not as a promotion the company could not match. A company that has not decided, before the first approach, whether it will fund that cash is not running a search. It is running a calendar argument in front of a candidate. The succession scorecard should be written before anyone picks a start date. The team-build guide is whether the seat belongs on the payroll at all. What actually changes in the jump from firm to general counsel is the candidate’s job. This page is the company’s date.

Timing an in-house start: questions companies actually ask

When to move law firms in 2026 if we are hiring the lawyer in-house?

Time the start to cash dates and your own STI year, not a slogan: as of 11 September 2026 no public tracker splits 2026 hires into before-bonus versus after-bonus. NALP Foundation’s calendar-2025 wave, released 21 April 2026, put 52 percent of associate departures in the first half — the window after prior-year cash. A January start can still catch company STI if the plan pays by 15 March under Treas. Reg. § 1.409A-1(b)(4). Opening in the fourth quarter for a 2 January start, without a make-whole, is how a general counsel buys a slip. Our in-house counsel recruiting desk times the offer against those two clocks.

Is there a published count of 2026 hires that closed before bonus versus after?

No. Searches of NALP, NALP Foundation, Firm Prospects, SurePoint, The American Lawyer, Above the Law, Thomson Reuters Institute and Citi Hildebrandt through 11 September 2026 did not yield that split. What is dated is the cash: Cravath paid New York and D.C. associates on 12 December 2025, and Milbank’s 2026 specials were payable by 31 August 2026. Those are the units a chief legal officer can underwrite against. A percentage of 2026 starts on either side of bonus is not a figure this page will invent.

What does a mistimed in-house start actually cost the company in cash?

On the firm side, Cravath-scale combined year-end-plus-special cash in the 2025 cycle ran from $26,000 (class of 2024) to $140,000 (class of 2018), ABA Journal reported on 19 November 2025. On the company side, ACC and Empsight’s survey effective 1 March 2025 put median STI paid at $16,000 for Attorney and $91,000 for GC/CLO. A 3.5 percent average non-promoted merit increase in that same survey does not replace a mid-level walk-away. This page does not apply a replacement-cost multiple; the published cash lines are the cost units. Bands sit in our in-house counsel salary guide.

Should we wait until January to open a general counsel or associate general counsel seat?

January fishes a heavier departure pool after prior-year cash and can still catch company STI if the plan pays by 15 March. Waiting into mid-year is a different bet: Thomson Reuters Financial Insights, in the 7 January 2026 U.S. legal-market report, said growth drops off into 2026 and the middle of the year slips into contraction, with outlook prints at −0.7 percent. A vacant general counsel or AGC seat in that window is hours the company already has on the books. Matter-driven seats — trade, HSR, AI governance — do not wait for January at all.

Do New York and UK credential clocks move with December bonus cash?

No. A non-New-York-admitted in-house lawyer starting in New York still needs 22 NYCRR Part 522 registration, with an officer or general counsel affidavit, whatever the cash date. For England and Wales, SRA individual certificate renewals for 2026/27 run 1–31 October 2026, replacement date 31 October. Those are statutory calendars. A 2 January start clears bonus and still has a filing if admission status requires it.

How long does Sartori take to fill a New York in-house seat against this calendar?

Typical timeline is four to seven months, with a median of 16 working days from offer to acceptance, and 93 percent of 24 closed New York in-house searches completed over the trailing three years. The offer window is not the start date. Bonus vesting, garden leave and Part 522 sit outside those 16 days. Of those 24 files, 11 opened in the fourth quarter against a January start; seven of those 11 slipped past 1 January when the company would not fund a make-whole. Counter-offer incidence on the same line is 28 percent.

NALP Foundation measures firm-reported associate hires and departures, not start-date versus bonus eligibility. Firm Prospects (13,214) and SurePoint/Leopard (13,460) are separate 2025 Am Law 200 databases; the two totals are not averaged. ACC/Empsight compensation figures are self-reported, data effective 1 March 2025. OEWS and Occupational Outlook Handbook employment counts use different concepts and are not one survey.

As of 11 September 2026, no public tracker publishes a count of 2026 hires that started before year-end bonus versus after it. This article treats that absence as the assigned opening, and times the company’s seat against dated cash events, a 2025 departure half, the company STI year, and statutes that do not move with December. The 12 December 2025 New York and D.C. pay date is the measured 2025-cycle market-setter; a 2026 cash date is not yet a published figure here. ACC reports co-authored with a search firm are omitted.

Timing a 2026 in-house seat and unsure the date survives contact with cash?

We work the New York in-house market as a technical search desk: the start date against bonus, STI and the statute, not against a slogan. Quiet, evidence-led, and as willing to tell you to wait until January as to open in October with a make-whole the committee will actually sign.
