Portfolio company general counsel salary in 2026
One table for the lawyer who would earn the package and the company that would fund it. Base, bonus, and the equity grant, with the year on every figure.
The 2026 cash table, before the equity.
A portfolio company is the operating company a private-equity sponsor owns. The general counsel sits there, not at the fund. Read the row that matches the company writing the check.
| What you are pricing | Figure | Dated | How to use it |
|---|---|---|---|
| Portfolio company GC base | $280,000–$420,000 | 2026 cash band | The portfolio company general counsel seat. Base only. |
| Portfolio company GC target bonus | 25–50% of base | 2026 cash band | Annual cash bonus. Not the equity grant. |
| PE-backed GC shortlist | 26 days | PE-backed GC searches, read in 2026 | Sartori clock for this seat. Slower than the all-GC median. |
| PE-backed GC accepted offer | 12 weeks | PE-backed GC searches, read in 2026 | Median to an accepted offer. All-GC median is 11 weeks. |
| ACC GC/CLO median base | $330,000 | Effective 1 March 2025 | 1,632 U.S. respondents, every company size. Not a portco cut. |
| ACC GC/CLO median total cash | $410,000 | Effective 1 March 2025 | Base plus actual bonus, including zeros. Not target. |
| ACC GC/CLO median total target direct | $503,000 | Effective 1 March 2025 | Base plus target bonus plus target long-term incentive. |
| ACC single-lawyer GC median base | $234,000 | Effective 1 March 2025 | One-lawyer departments. Below the portco floor. |
| Mid-cap listed GC base | $450,000–$650,000 | 2026 cash band | Do not import. Bonus there is 60–100% of base. |
| Large-cap listed GC base | $650,000–$1.1 million | 2026 cash band | Do not import into a portfolio offer. |
| Proxy median total, named GC officers | $4.76 million | 2026 proxy season, 236 officers | Total compensation. Mostly equity. Not a base. |
2026 portfolio company general counsel base floor, $280,000. Bonus is 25 to 50 percent of base.
The portfolio band is a base. The proxy figure is a total. They do not belong in the same cell of an offer letter.
Listed pay, survey pay, and a private company are three instruments.
The number a board pastes in is usually the one a proxy or a survey made easy to copy. Each of those series has a year, a population, and a unit. Mix the unit and the offer is wrong.
Item 402 of Regulation S-K, 17 CFR 229.402(a)(3), requires compensation disclosure for the principal executive officer, the principal financial officer, and the three most highly compensated other executive officers at year end. A general counsel is in that table only by clearing the pay test. Any officer other than the CEO and CFO whose total, measured as the rule specifies, does not exceed $100,000 drops out. A private portfolio company files no proxy. The 2026 proxy-season median of $4.76 million is the median total for the 236 sitting general counsel who cleared that screen at the largest US-listed companies. It is a selected tail, and it is a total.
The ACC and Empsight 2025 Law Department Compensation Survey is the public cash check: self-reported, 1,632 U.S. in-house respondents, compensation effective 1 March 2025. Medians require at least five respondents. In the General Counsel/Chief Legal Officer grouping, 96 percent are short-term-incentive eligible, the median target is 35 percent of base, the median bonus paid is $91,000, and the 90th-percentile bonus paid is $350,000. Long-term incentives reach 63 percent of the grouping, at a 40 percent median target. The 90th percentile of total target direct compensation is $1.46 million. Chief legal officers above $5 billion of revenue earned 44 percent more in base and 173 percent more in total target compensation than chief legal officers under $1 billion, and the large-company median total target exceeded $1 million.
A single-lawyer general counsel in the same survey has a median base of $234,000, median total cash of $255,000, long-term-incentive eligibility of 31 percent, and median total target direct compensation of $280,000. The division and subsidiary grouping sits at a $279,000 median base, $341,000 median total cash, and $378,000 median total target direct. Neither row is a private-equity portfolio company. The subsidiary title is the closest label the survey prints, and it still describes a division of an operating company that filled out a questionnaire, not a sponsor-backed hold.
Stage bands for every other company type live on the general counsel salary guide for 2026. The portfolio row stays out of the mid-cap public row. A Series B to C first general counsel is a different seat again: $240,000 to $340,000 base and a 20 to 40 percent bonus in 2026. A portfolio company can be that small and still not be that seat, because the sponsor, the lender, and the exit sit in the job.

Sartori & Partners, 2026 cash bandA base, a total-cash median, and a proxy total are three different checks. An offer letter that adds them has not priced the seat.
The grant is not salary, and the hold is not four years.
Cash is the 2026 band. The equity incentive is a share of a pool that pays above a threshold, on a hold that has lengthened.

- Base and bonus Fixed salary plus an annual target. This is the 2026 band. It does not include the grant.
- Pool and threshold A slice of the management pool, struck so the interest has no liquidation value on day one.
- Exit The grant is worth what the waterfall pays after debt and the sponsor’s preference. A missed exit pays nothing.

- Bain & Company, Global Private Equity Report 2026
Bain & Company’s Global Private Equity Report 2026 puts the average holding period at exit around seven years, up from five to six years across 2010 to 2021. Almost 40 percent of portfolio companies have been held more than five years, against 29 percent in 2019. A lawyer who joins at close is not looking at a four-year restricted-stock schedule. The person paid is underwriting a long hold. The company paying is underwriting cash it can defend to a lender and to the next buyer.
WTW’s 2026 Portfolio Company Long-Term Incentive survey, conducted from November 2025 to January 2026, collected plans from 47 companies with a median value at investment of $600 million. The median pool was 10 percent of undiluted shares outstanding, the same median WTW reported in its earlier portfolio studies. At the median, 75 percent of the pool was granted up front and 25 percent was reserved for later hires. Larger investments, above $1 billion, tend to set a smaller percentage aside. Smaller investments, below $200 million, tend to set a larger one. The chief executive took about 23 percent of the pool, the chief financial officer about 7 percent, and each other C-suite role about 3 percent. There is no general counsel line in that table.
Profits interest units were the vehicle in 50 percent of those plans, stock options in 30 percent, and restricted shares or units in 28 percent. IRS Publication 541 defines a profits interest as a partnership interest other than a capital interest: if the partnership sold its assets at fair market value and liquidated, the holder would take nothing on day one. Receipt for services, in a partner capacity or in anticipation of becoming a partner, is not a taxable event, unless the interest relates to a substantially certain income stream such as high-quality debt or a net lease, the partner disposes of it within two years, or it is a limited partnership interest in a publicly traded partnership. Rev. Proc. 2001-43 tests an unvested profits interest at grant, and says an 83(b) election is not required, when the holder is treated as the owner from grant, takes a distributive share, and the Rev. Proc. 93-27 conditions hold. Treas. Reg. section 1.83-2 still sets the 83(b) filing at not later than 30 days after transfer. A sale or a buyback inside two years fails the Publication 541 condition, and that 30-day filing is the protection. Notice 2005-43 proposed a replacement and said the 1993 and 2001 procedures would be obsoleted only once the proposal is finalized. Publication 541 still states the profits-interest rule above.
Three percent of a 10 percent pool is 0.30 percent of undiluted shares. That product uses WTW’s median pool and the 3 percent WTW reports for each C-suite role other than chief executive and chief financial officer. It is not a WTW general counsel statistic, because WTW did not publish one. What the grant should say in the award, the vest, and a change-of-control clause is in general counsel equity compensation at private companies. Fund carried interest is a different instrument. This grant is in the portfolio company.
The candidate is pricing a seven-year hold. The sponsor is pricing a cash band. The letter has to survive both readings.
What the portfolio general counsel files actually closed at.
The 2026 band is the range. The cuts below are the placements inside it, each with the segment, the count, and the years.
Sartori & Partners has placed 52 general counsel and chief legal officers since 2017, inside 400+ placements (230+ in-house). 11 of those 52 were general counsel at a private-equity-backed portfolio company, closed from 2017 through 2026. The median clock on a PE-backed general counsel search is 26 days to shortlist and 12 weeks to an accepted offer. The rows are different slices of those 11. They are not additive.
| Segment | Count | Accepted base | Window |
|---|---|---|---|
| Revenue under $250 million | 4 of 11 | $280,000–$330,000 | 2017–2026 |
| Revenue $250 million to $1 billion | 5 of 11 | $320,000–$390,000 | 2017–2026 |
| Above $1 billion, or a signed exit inside 18 months | 2 of 11 | $370,000–$420,000 | 2017–2026 |
| First GC, revenue under $500 million | 7 of 11 | Median $325,000 | 2017–2026 |
| Grant included, as a share of the management pool | 8 of 11 | 3–6% of the pool | 2017–2026 |
| Cash and annual bonus only | 3 of 11 | No grant | 2017–2026 |
| Target bonus 30–40% of base | 8 of 11 | Inside the 2026 band of 25–50% | 2017–2026 |
| Target bonus 25% of base | 2 of 11 | Floor of the 2026 band | 2017–2026 |
| Target bonus 50% of base | 1 of 11 | Ceiling of the 2026 band | 2017–2026 |
One file inside the middle revenue cut: a PE-backed business-services company in Chicago, revenue $410 million, hired its first general counsel in 2025. Accepted base $335,000, target bonus 35 percent, profits interest at 4 percent of the management pool. Shortlist in 29 days, accepted offer in 13 weeks. That is one of the 7 first-chair seats, one of the 5 in the $250 million to $1 billion cut, and one of the 8 grants. It was accepted on the first letter. It is slower than the 26-day and 12-week medians by a few days and one week.
The general counsel there later described the letter in one line: The cash was a number I could spend. The grant was a number I could not, until the threshold, the pool percent, and a bad-leaver clause were on the same page.
A chief financial officer at a PE-backed industrial company in Ohio, one of the 3 rewritten letters, put the failed draft this way: The first letter copied a listed-company base. The second letter, inside the portfolio band with the profits interest struck at entry equity, is the one she signed.
The person paid and the company paying are not reading the same line.
Same page, two jobs. The lawyer tests what is spendable and what is a waterfall. The company tests what the sponsor will fund and what a buyer will inherit.
A portfolio company general counsel salary is the cash. The grant is a claim on an exit you do not control.
| Line in the letter | What to test before you accept |
|---|---|
| Base against the 2026 band | $280,000 to $420,000 in 2026. Above $450,000 is a listed-company base. |
| Target bonus, as dollars | 25 to 50 percent of base in 2026. Write the dollar and the metric. |
| Threshold on the grant | Worth nothing on a day-one liquidation. Below entry equity, Publication 541 does not treat it as a profits interest. |
| Share of the pool, not of the company | WTW’s 2026 median pool, 47 companies, is 10 percent of undiluted shares. Three percent of the pool is not 3 percent of the company. |
| Two-year and 30-day clocks | A sale within two years falls outside the safe harbor. An 83(b) filing is due 30 days after transfer. |
| Leaver terms | Resignation, termination without cause, and termination for cause, on vested and unvested units. |
Fund the 2026 band. Write the grant as a pool percent with a threshold. Do not staff a listed-company department on a portfolio budget.
| Decision | The constraint |
|---|---|
| Operating GC or group CLO | One company, one general counsel. A holdco across several companies is a different search: PE portfolio legal recruiting. |
| Headcount | A PE mid-market portfolio company runs 3 to 6 lawyers. The median department is 12 to 18 lawyers at $1 billion to $5 billion, and 25 to 60 at $5 billion and above. |
| Deputy is a different band | Deputy general counsel and head of legal cash is $220,000 to $380,000. A different band from this seat. |
| Bonus metric the sponsor will sign | EBITDA, cash, and a personal objectives schedule the sponsor will sign. |
| Pool reserve | WTW’s median plan holds 25 percent of the pool for later hires. |
| Who files the 83(b) | Name who files within 30 days of transfer. A missed filing is the executive’s tax. |
Fee, guarantee, and the search this salary belongs to.
The salary is the candidate’s cash. The fee is a percent of that first-year total. Both numbers are the company’s.
Retained only. The fee is 25 to 30 percent of the hire’s total first-year compensation. The retainer is 30 percent of the fee, paid at engagement and kept if the client cancels. Replacement on a retained general counsel, chief legal officer, or chief compliance officer search is 12 months. Offer acceptance across retained searches is 96 percent. Retention of placed in-house leaders is 97 percent at 12 months and 91 percent at 24 months. The portfolio general counsel files did not match the acceptance rate: 11 accepted offers out of 12 extended, from 2017 through 2026.
Arithmetic on the edges of the 2026 band, using cash only. Low edge: $280,000 base plus a 25 percent bonus is $70,000, so total cash is $350,000. A 25 percent fee is $87,500. A 30 percent fee is $105,000. The retainer, 30 percent of the fee, is $26,250 or $31,500. High edge: $420,000 base plus a 50 percent bonus is $210,000, so total cash is $630,000. A 25 percent fee is $157,500. A 30 percent fee is $189,000. The retainer is $47,250 or $56,700. These are products of the band. They are not a median invoice. Equity value is not in that cash product. The year-one cost stack for other company sizes is in how much a general counsel costs.
The search is legal hiring for PE portfolio companies. Order of hire is in hiring in-house counsel for PE-backed companies. A PE-backed general counsel search takes 26 days to a shortlist and 12 weeks to an accepted offer. Across 52 general counsel and chief legal officer placements since 2017, the median is 24 days and 11 weeks, range 8 to 16. Budget the slower clock.

Portfolio company general counsel salary: questions
What is a portfolio company general counsel salary in 2026?
$280,000 to $420,000 base, and a target bonus of 25 to 50 percent of base. That is the 2026 cash band for a general counsel at a private-equity-backed operating company. It is not the $4.76 million median total for 236 sitting general counsel who are named executive officers at the largest US-listed companies in the 2026 proxy season. A PE-backed general counsel search reaches a shortlist in 26 days and an accepted offer in 12 weeks.
What bonus does a private equity portfolio general counsel receive?
25 to 50 percent of base in 2026. On a $280,000 base the 25 percent target is $70,000, so total cash is $350,000. On a $420,000 base the 50 percent target is $210,000, so total cash is $630,000. Those are the edges of the band. ACC and Empsight, effective 1 March 2025, report a 35 percent median short-term-incentive target for the General Counsel/Chief Legal Officer grouping, across U.S. companies of every size.
How does the equity incentive work at a PE-backed company?
WTW's 2026 survey of 47 portfolio companies, fielded November 2025 to January 2026, found a median pool of 10 percent of undiluted shares, 75 percent of it granted up front. Profits interest units were in 50 percent of plans, stock options in 30 percent, and restricted shares or units in 28 percent. Other C-suite grants were about 3 percent of the pool. There is no general counsel row. IRS Publication 541 treats a qualifying profits interest as not taxable unless the holder sells within two years.
How does portfolio company GC pay differ from a listed-company general counsel?
Mid-cap listed general counsel base in 2026 is $450,000 to $650,000, with a 60 to 100 percent bonus. Large-cap listed base is $650,000 to $1.1 million. The portfolio company band stops at $420,000 base and a 50 percent bonus. ACC and Empsight, effective 1 March 2025, report a $330,000 median base and $503,000 median total target direct compensation for General Counsel/Chief Legal Officer. Chief legal officers above $5 billion of revenue earned 44 percent more in base and 173 percent more in total target compensation than those below $1 billion.
How long does a portfolio company general counsel search take?
26 days to a shortlist and 12 weeks to an accepted offer, the clock for a PE-backed general counsel search. Across all 52 general counsel and chief legal officer placements since 2017, the median is 24 days and 11 weeks, with a range of 8 to 16 weeks. The portfolio seat runs slower than the all-seat median. The search itself is a retained portfolio-company legal search.
What does the company pay Sartori to hire this general counsel?
The fee is 25 to 30 percent of total first-year compensation. The retainer is 30 percent of that fee, paid at engagement and kept if the search is cancelled. On the low edge of the 2026 band, $350,000 total cash, the fee is $87,500 to $105,000 and the retainer is $26,250 to $31,500. On the high edge, $630,000 total cash, the fee is $157,500 to $189,000 and the retainer is $47,250 to $56,700. Replacement on a retained general counsel search is 12 months.
