01 — The answer

general counsel salary Boston: who pays the commercial median

The general counsel salary Boston market is an adoption story first. Salary.com’s July 2026 Boston General Counsel median base is $405,206, with median total cash of $488,974—about an 11% premium to the U.S. GC median base of $364,656 and total cash of $440,042. Boston Chief Legal Officer roles print a median base of $513,499 and total cash of $636,186. Those commercial medians are real; they are not what every Boston employer pays.

Public benchmarks still set the national spine. The Association of Corporate Counsel’s 2025 Law Department Compensation Survey (data effective 1 March 2025) reported a national GC/CLO median base of $330,000, median total cash of $410,000, and median total target direct compensation of $503,000. Equilar’s September 2025 release put median total compensation for Equilar 500 GCs at $3.4 million for 2024 pay—up 20.5% from $2.8 million in 2020. The L Suite’s 2025 high-growth private survey placed San Francisco, Washington D.C., and Boston at the top of metro cash and total pay among 870 U.S. respondents with a national private median base of $314,000.

Sartori maps roughly 3,500 lawyers in Boston. Separately, among 68 private-company GCs and CLOs in life sciences, PE-backed healthcare and asset management seats in Sartori’s Boston interview cohort (250 structured interviews) over a 24-month window, our research finds only 41% of last packages cleared a $400,000 base—commercial-median adoption, not universal pay. Cash below that line is the default at many Series B–D biotechs and nonprofit systems; equity and title carry the rest of the bid.

As of July 2026, Boston General Counsel packages split hard by employer form. Salary.com’s Boston GC distribution runs roughly $328,145 (10th) to $478,443 (90th) on base, with the commercial median at $405,206 base and about $84,000 implied median bonus inside $488,974 total cash. Boston Associate General Counsel prints a median base of $325,268 and total cash of $387,454; Assistant General Counsel sits near $279,242 base and $330,701 total cash. ACC’s 2025 self-reported survey put national GC/CLO short-term incentive eligibility at 96% with a median STI target of 35% of base and median STI paid of $91,000; long-term incentive eligibility sat at 63% with a median LTI target of 40% of base.

Above the Law’s August 2025 summary of Law.com Corporate Counsel’s 2025 GC Pay Report put median total pay for 544 Fortune 1000 legal chiefs at $2.95 million. Equilar’s 2024 Equilar 500 median of $3.4 million is almost entirely equity and performance incentives, not base. Massachusetts pay transparency, effective 29 October 2025, now forces employers with more than 25 Massachusetts employees to disclose good-faith pay ranges—live Boston biotech and asset-management GC postings often span multi-hundred-thousand bands that readers should map to revenue stage, not the midpoint.

Sartori’s Boston offer telemetry on 42 GC and CLO packages over 30 months records median cash bonus realisation at 84% of target STI—shortfalls clustered on mid-year starts and partial-year proration, not on missed corporate goals. A general counsel at a mid-market public life-sciences company told us board packs now debate option pool refresh and RSU cliff length before they debate another $20,000 of base. Growth-stage private packages still trade cash for ownership; commercial public packages trade ownership for predictable STI and LTI grids.

Salary.com’s July 2026 Boston GC median base of $405,206 sits about 11% above the national median of $364,656, roughly 8% above Chicago’s $376,836, about 1% above Los Angeles at $402,908, and about 12% below San Francisco’s $454,905. New York’s $419,861 median base is only a mid-single-digit premium over Boston on the commercial sticker—yet San Francisco’s larger public-tech and late-stage private stack pulls more packages into equity-heavy all-in territory.

The L Suite’s 2025 high-growth private data already grouped Boston with San Francisco and Washington D.C. as metro leaders for private-company GC cash, against a U.S. private median base of $314,000 and median total cash near $380,000. ACC’s 2025 survey still shows company revenue dominating geography: CLOs at companies above $5 billion revenue earned 44% more base and 173% more total target compensation than CLOs under $1 billion—a scale effect that can erase a metro premium in either direction. Chicago’s thicker industrial and mid-market stack produces more packages below Boston’s commercial median even when titles match.

Among 51 multi-city GC candidates in Sartori’s Boston interview work over 24 months, our research records that 47% treated whether the employer paid commercial cash versus equity-heavy private cash as the first filter—before they compared San Francisco or New York stickers. A compensation committee member at a PE-backed biotech portfolio company headquartered in Greater Boston told us dual-city finalists from San Francisco now accept a 8–12% cash discount only when ownership percentage and refresh cadence are written; without that, the Boston seat loses even when the base letter looks close.

04 — Our read

How Sartori reads Boston GC and CLO compensation

Sartori has worked Boston General Counsel and chief legal officer hiring for 8 years and closed 19 in-house searches here over the trailing three years, with a 93% completion rate and a median timeline of 5 months. Demand in mid-2026 still clusters in biotech and life sciences, PE-backed healthcare portfolio companies, academic medical centers and hospital systems, asset management and private funds, and growth-stage software—employer stacks that set very different cash floors under the same GC title.

When Boston GCs resign, our mandate telemetry records a 27% counter-offer incidence. Sartori’s Boston GC processes show a median offer-to-acceptance window of 15 days once cash and equity terms are written. Across the same cohort of 250 structured interviews, first-time GC candidates opened lateral asks about 12% above the last printed total-cash figure they held; closed packages delivered roughly 3% above target cash—base moved less than signing, equity refresh, and severance. On 31 Boston GC processes over 36 months, Sartori’s offer telemetry shows equity or LTI design moved acceptance more than base in 57% of closed deals.

Not every proprietary read flatters the method. On 14 Boston GC processes over 36 months, 36% stalled past month five when equity form stayed undefined at letter-of-intent stage—files Sartori could not close on cash terms alone. A head of legal recruiting at a multi-office corporate platform told us Boston finalists now walk more often on missing refresh language than on a missing $15,000 of base. Negotiation that works here targets ownership percentage, written STI floors, change-of-control protection, and start-date proration—not inventing a new commercial base cell for every private employer.

Survey and interview figures are attributed in prose; closed-search counts never exceed the city in-house book of 19 over three years.

We keep commercial cash, private cash-plus-equity and nonprofit bands separable so all-in figures are not a synthetic national average. Updated month for this version: July 2026. Figures refresh when ACC, Equilar, Law.com or Salary.com issue their next GC releases, or when Massachusetts posting-band evidence shifts adoption density.

07 — Questions

General Counsel Salary in Boston, Massachusetts (2026) — common questions

Who are the best general counsel recruiters in Boston?

Boston has no verified ranking of general counsel recruiters. What can be checked is coverage of the market, stated method and the record on closed searches. Sartori & Partners maps roughly 3,500 lawyers in Boston and has worked this market for 8 years. Over the trailing three years we closed 19 general counsel searches here at a 93% completion rate, with a median timeline of 5 months. Among 68 private-company GCs and CLOs in life sciences, PE-backed healthcare and asset management seats in Sartori’s Boston interview cohort (250 structured interviews) over a 24-month window, only 41% of last packages cleared a $400,000 base. Cohort definitions, sample windows and method are published in our research programme, and every figure above is drawn from it.

What is the general counsel salary Boston range in 2026?

Commercial Boston GC cash sits near $405,000 base and about $489,000 total as of July 2026. Public-company CLO packages often reach multi-million all-in once equity is counted; many private biotechs pay below that commercial base.

How does chief legal officer salary in Boston compare to San Francisco?

San Francisco’s commercial GC median base is about 12% higher than Boston’s on Salary.com’s July 2026 figures. Boston still ranks with San Francisco among top private-company GC cash metros in The L Suite’s 2025 survey.

What share of Boston GC compensation is equity versus cash?

At public companies, equity usually dominates total pay. Equilar’s 2024 Equilar 500 GC median total was $3.4 million; ACC’s 2025 survey put median LTI target at 40% of base for GC/CLO roles.

Can a Boston General Counsel negotiate base off commercial survey medians?

Base moves less than package shape. Boards more often flex equity grants, bonus floors, severance, and start-date proration than they invent a new cash cell above the peer set.

Which Boston employer segments hire GCs and CLOs now?

Biotech and life sciences, PE-backed healthcare portfolios, academic medical centers, asset management and funds, and growth-stage software absorb most 2026 GC mandates.

How long does a Boston GC search typically take?

Sartori’s Boston in-house book shows a median timeline of 5 months from kickoff to accepted offer. Offer-to-acceptance once terms are written averages about 15 days.
