Law firm corporate department seeks a Registered Funds Associate to join an asset management team focused on mutual funds, ETFs, closed-end funds, interval funds, tender offer funds, business development companies and registered investment advisers. The role involves advising on fund formation, registration, product development and ongoing compliance under the Investment Company Act and related securities laws.

Day-to-day work includes drafting and reviewing prospectuses, SAIs and shareholder communications, conducting regulatory research on novel structures, interacting with regulators, and coordinating with portfolio managers, compliance and product teams. The position offers client-facing responsibility and opportunities to mentor more junior lawyers.

3–6 years of securities/registered funds experience (capital markets or asset management practice preferred)
Strong knowledge of the Investment Company Act of 1940, the Advisers Act and related securities laws
Experience drafting prospectuses, statements of additional information, shareholder reports and other fund documents
Demonstrated experience advising on fund formation, registration and ongoing compliance
Comfort interacting with regulatory authorities (e.g., SEC) and advising on novel product structures
J.D. from an accredited law school and admission to the relevant bar
