Capital Markets Associate, Securities — Northern Virginia

Mid-level associate role in a national law firm’s securities group based in Northern Virginia. The position focuses on capital markets work across public and private equity offerings and ongoing public-company reporting and governance matters.

The team advises issuers and underwriters on IPOs, follow-on offerings, proxy statements and S-4 registration statements (including business-combination transactions). Work includes interaction with regulators and counseling public companies on SEC reporting and corporate governance.

• 3-5 years of capital markets experience (public and private equity offerings, IPOs and follow-ons).
• Experience with S-4s, proxy statements, SEC interactions and ongoing ’34 Act reporting (10-Ks, 10-Qs, 8-Ks).
• Experience representing issuers and/or underwriters; SPAC/deSPAC and debt offering experience a plus.
• Strong drafting, negotiation and client-management skills; admission to one or more state bars required.
