Capital Markets Associate

Our nationally ranked Capital Markets practice group is seeking an associate with approximately three to five years of experience in sophisticated corporate finance transactions, particularly public securities offerings under the Securities Act of 1933, acting as issuer’s or underwriters’ counsel. The ideal candidate will also have experience in general corporate and corporate governance matters, with significant experience advising public companies under the Securities Exchange Act of 1934.

We are looking for someone with a strong academic record, exceptional analytical and communication skills, and a desire to work on a diverse range of complex transactional matters. This role offers the opportunity to collaborate directly with partners, counsel, and associates on cutting-edge transactions, and to work across offices with leading industry groups, including Energy, Financial Services, Real Estate Investment & Finance, and Retail and Consumer Products.

This position may be based in our Washington, DC or Richmond office. Candidates licensed in the jurisdiction to which they are applying are preferred and, in any event, required within one year of joining.

• Approximately 3–5 years of capital markets and securities experience
• Strong background in public securities offerings and SEC reporting obligations
• Excellent academic credentials and communication skills
• Ability to work collaboratively in a team-oriented environment

• Juris Doctor (JD) degree from an accredited law school
• Bar admission in the relevant jurisdiction (or ability to obtain within one year)
• 3–5 years of experience in capital markets and securities transactions
• Experience with public offerings under the Securities Act of 1933, as well as general corporate and corporate governance matters
• Significant experience advising public companies under the Securities Exchange Act of 1934
• Strong analytical, drafting, and communication skills
