A nationally recognized Capital Markets practice group is seeking an associate with approximately three to five years of experience to join its sophisticated corporate finance team. The role offers the opportunity to work directly with partners, counsel and associates on a diverse range of cutting-edge transactional matters in a collaborative, team-oriented environment.

The position focuses on public securities offerings under the Securities Act of 1933, acting for both issuers and underwriters, along with general corporate and corporate governance work. Candidates with significant experience advising public companies under the Securities Exchange Act of 1934 are particularly well suited.

The role offers the chance to work across offices alongside leading industry groups, including Energy, Financial Services, Real Estate Investment & Finance, and Retail and Consumer Products. The position may be filled in the firm's Washington, DC or Richmond offices, and a competitive relocation package is available for candidates relocating for the role.

Approximately 3–5 years of experience with sophisticated corporate finance transactions, particularly public securities offerings under the Securities Act of 1933, whether as issuer's or underwriters' counsel
Experience with general corporate and corporate governance matters
Significant experience advising public companies under the Securities Exchange Act of 1934 preferred
Strong academic record and exceptional analytical and communication skills
Licensed in the jurisdiction of application preferred; licensure required within one year of joining
