An AmLaw 50 firm seeks a mid-level corporate associate with private equity experience to join its nationwide private equity team in Chicago, Washington, D.C., or New York. The team advises private equity funds, independent sponsors, family offices, and their portfolio companies on the full range of transactional matters.

Work includes mergers and acquisitions, leveraged buyouts and recapitalizations, growth and other financings, entity formation, and joint venture and strategic alliance arrangements. The practice frequently intersects with industry-focused groups such as aerospace and defense, healthcare, life sciences, food and beverage, renewable energy, communications, fintech, AI, and entertainment.

Associates receive early and substantive client exposure within a collaborative, energetic team. The role offers hands-on responsibility for drafting and negotiating transaction agreements, managing closings, and overseeing more junior teammates.

4–6 years of private equity transactional experience (required)
Strong drafting, negotiation, and deal-management skills
Ability to handle varied transaction structures with creativity and flexibility
Exceptional organization and project management abilities
Effective written and oral communication with clients and colleagues
Excellent academic credentials
Admission to the bar of the office state, or ability to obtain admission through reciprocity
