We are seeking a junior career associate to join a leading Fund Formation practice. This is a long-term, non-partnership-track role designed for attorneys who value high-quality transactional work, mentorship, work-life balance, and a defined professional path within a top-tier global law firm.

The associate will work closely with partners and senior associates on fund formation matters, including drafting and reviewing limited partnership agreements, private placement memoranda, subscription documents, and side letters, with exposure to both sponsor-side and investor-side representations.

The practice primarily advises venture capital, growth equity, impact, and crossover fund managers — from established platforms to first-time emerging managers — on fund formation, regulatory compliance, secondary transactions, co-investment vehicles, and capital deployment across the innovation ecosystem. It also represents institutional limited partners in their fund commitments and co-investment activity. The role offers deep integration with a market-leading emerging companies and venture capital platform, providing exceptional deal flow and career development opportunities.

J.D. from an accredited law school
1–2 years of experience
Active bar membership (or eligibility for prompt admission) in West Virginia or Pennsylvania
Strong academic credentials
Excellent written and verbal communication skills
Attention to detail
Genuine interest in a long-term career in private fund formation
Prior transactional legal experience through law school clinics, internships, clerkships, or early associate work preferred
Coursework or interest in securities regulation, investment management, corporate law, or partnership taxation will distinguish top candidates
