A leading law firm is seeking a mid-level associate to join its Compensation & Benefits practice in New York. The role focuses on advising private equity sponsors on executive compensation and employee benefits matters across acquisitions, divestitures, and portfolio company operations.

The successful candidate will handle a range of complex matters, including profits interests and other LLC incentive awards, management holdco structures, rollover equity, and employment and severance arrangements. Experience with mergers and acquisitions involving privately held companies and IRC Sections 280G and 409A is essential.

5+ years of experience in executive compensation and employee benefits
Significant experience representing private equity sponsors in acquisitions and divestitures

Experience with IRC Sections 280G and 409A
Excellent academic credentials and superior writing, oral communication, and analytical skills
