Join a firm compensation & benefits team advising private equity sponsors and their portfolio companies on executive compensation and employee benefits matters. The role focuses on deal work and ongoing portfolio-company support, including equity and incentive arrangements for managers and executives.

Typical matters include grants of profits interests and other LLC incentive awards, management holdco and rollover equity structures, employment and severance arrangements, and transactional advice in M&A contexts. Strong technical experience with IRC Sections 280G and 409A is required.

Minimum 5 years' post-qualification experience advising on executive compensation and employee benefits
Experience representing private equity sponsors in acquisitions/divestitures and advising portfolio companies
Practical experience with profits interests/LLC incentive awards, management holdco/rollover equity, and employment/severance arrangements
Solid working knowledge of IRC Sections 280G and 409A
Excellent writing, oral communication and analytical skills; strong academic credentials
