Immediate opening for an associate to join a national compensation and benefits team focused on private equity work. The role centers on advising sponsors and portfolio companies on executive compensation, employee benefits, and transactional issues across acquisitions, divestitures and ongoing portfolio company matters.

Typical matters include grants of profits interests and LLC incentive awards, management holdco structures, rollover equity arrangements, employment and severance documentation, and transactional tax-driven issues under IRC Sections 280G and 409A. The team handles M&A for privately held companies and provides day-to-day benefits counsel to portfolio companies.

Minimum 5 years of PQE advising on executive compensation and employee benefits matters
Substantial experience representing private equity sponsors and advising portfolio companies (profits interests, LLC incentive awards, rollover equity, management holdco structures)
Transactional experience in private company M&A and with IRC Sections 280G and 409A
Excellent academic credentials and strong writing, oral communication and analytical skills
