Compensation & Benefits Associate — Private Equity (San Diego)

A leading law firm's Compensation & Benefits practice group is seeking an associate with 5+ years of experience to join its team in San Diego.

The role centres on executive compensation and employee benefits matters, with a particular emphasis on advising private equity sponsors in acquisitions and divestitures and handling day-to-day portfolio company matters. Work includes grants of profits interests and other LLC incentive awards, management holdco vehicles, rollover equity, and employment and severance arrangements.

Candidates should also have experience with mergers and acquisitions involving other privately held companies, and with IRC Sections 280G and 409A. The firm seeks individuals with excellent academic credentials and superior writing, oral communication and analytical skills.

• 5+ years of executive compensation and employee benefits experience
• Emphasis on representing private equity sponsors in acquisitions and divestitures
• Portfolio company matters: profits interests and other LLC incentive awards, management holdco vehicles, rollover equity, employment and severance arrangements
• M&A experience involving privately held companies
• Experience with IRC Sections 280G and 409A
• Excellent academic credentials and superior writing, oral communication and analytical skills
