Compensation & Benefits Associate — Private Equity, Los Angeles

Leading private equity–focused compensation & benefits team seeks an associate to support transactional and portfolio-company work. The role emphasizes executive compensation and employee benefits counseling for sponsor-led acquisitions, divestitures and ongoing portfolio matters.

Typical matters include drafting and negotiating LLC incentive arrangements (profits interests and other awards), management holdco and rollover equity structures, employment and severance agreements, and advice on Sections 280G and 409A. • Minimum 5 years' experience advising on executive compensation and employee benefits matters
• Demonstrated experience representing private equity sponsors on acquisitions, divestitures and portfolio-company matters
• Experience with grants of profits interests and other LLC incentive awards, management holdco/rollover equity and employment/severance arrangements
• Knowledge of IRC Sections 280G and 409A
• Strong academic credentials and excellent writing, oral communication and analytical skills
