A dynamic Compensation & Benefits practice group is seeking an Associate to join its team. This is a substantive, deal-facing role centered on representing private equity sponsors in acquisitions, divestitures, and ongoing portfolio company matters.

The position involves advising on the full range of executive compensation and employee benefits issues that arise in transactions, along with day-to-day support for portfolio companies. You will work closely with deal teams and clients on sophisticated, high-value engagements.

5+ years of experience advising on executive compensation and employee benefits matters
Particular emphasis on representing private equity sponsors in acquisitions and divestitures
Experience with day-to-day portfolio company matters, including profits interests and other LLC incentive awards, management holdco vehicles, rollover equity, and employment and severance arrangements
Experience with mergers and acquisitions involving privately held companies
Knowledge of IRC Sections 280G and 409A
Excellent academic credentials and superior writing, oral communication, and analytical skills
