Compensation & Benefits Associate – Private Equity

Our Compensation and Benefits practice group is seeking an associate to join its team. This role focuses on advising private equity sponsors and their portfolio companies on executive compensation and employee benefits matters.

• Represent private equity sponsors in acquisitions and divestitures, and handle day-to-day portfolio company matters, including profits interests and other LLC incentive awards.
• Advise on management holdco vehicles, rollover equity, and employment and severance arrangements.
• Support mergers and acquisitions involving other privately held companies, with experience in IRC Sections 280G and 409A required.

• 5+ years of experience advising on executive compensation and employee benefits matters, with an emphasis on private equity transactions.
• Experience with profits interests, LLC incentive awards, management holdco vehicles, rollover equity, and employment/severance arrangements.
• Experience with M&A involving privately held companies, and knowledge of IRC Sections 280G and 409A.
• Excellent academic credentials, with strong writing, oral communication, and analytical skills.
• Compensation range: $365,000+ per annum, dependent on location and experience.
