Mid-level associate position in the Corporate, M&A and Securities practice based in Portland. The role focuses on transactional work across mergers & acquisitions, venture capital financings and other commercial and strategic transactions, plus related corporate governance and securities matters.

Day-to-day responsibilities include drafting and negotiating acquisition agreements and related transaction documents, advising public and private companies, investors, private equity and venture capital funds, founders and emerging growth companies on deal execution and governance issues.

2-5 years of corporate transactional experience (PQE)
Experience advising public and/or private companies, investors, PE/VC funds, founders or emerging growth companies
Proven experience with M&A and venture capital transactions and drafting acquisition agreements and related transaction documentation
Familiarity with corporate governance and securities matters
Strong interpersonal and written/verbal communication skills; sound commercial judgment
Excellent academic credentials and prior experience in a sophisticated law firm environment
