Corporate Associate – Public Companies & Governance – Minneapolis

A leading law firm is seeking a corporate associate with four to five years of experience to join its Public Companies & Governance team in Minneapolis. The role focuses on advising public companies on securities compliance matters, including financial reporting and other Exchange Act compliance obligations, as well as corporate governance.

The successful candidate will work closely with other members of the team to provide day-to-day securities law counseling and to handle significant governance transactions, such as executive succession, corporate crises, shareholder proposals, and other shareholder activism matters.

Prior experience with general corporate matters, including securities offerings and/or mergers and acquisitions, is helpful, and some in-house experience is also valued. The firm serves as primary securities compliance and governance counsel to more than sixty public companies across diverse industries, ranging from newly public emerging growth companies to Fortune 500 companies.

The firm is committed to fostering flexibility while maintaining a collaborative and client-focused environment, with a hybrid in-office policy that asks attorneys to work from the office three days per week. The anticipated initial annual salary range for this position is $245,000–$265,000, with actual salary based on relevant skills, training, experience, and other job-related factors.

• 4–5 years of experience advising public companies on securities compliance and corporate governance
• Demonstrated experience with a variety of securities law compliance, disclosure, and corporate governance matters
• Strong academic credentials and communication skills
• Commitment to high responsiveness and a demonstrated interest in public company compliance and corporate governance
• Prior experience with general corporate matters, including securities offerings and/or M&A, is helpful
• Some in-house experience is valued
