Corporate Associate — Public Companies & Governance — Minneapolis

Seeking a corporate associate with 4–5 years’ securities experience to join a Public Companies & Governance team in Minneapolis. The role focuses on securities compliance and corporate governance counseling for public company clients, including financial reporting/’34 Act matters, shareholder activism responses, executive succession and other governance transactions.

Work closely with a team that serves a broad range of public issuers from emerging growth to large-cap companies. Prior experience with securities offerings, M&A, or in-house securities/corporate work is beneficial. The group supports a collaborative culture with an in-office expectation of approximately three days per week.

The anticipated initial salary range is $245,000–$265,000, with additional benefits and bonus opportunities.

• 4–5 years of post-qualifying securities and public company governance experience
• Demonstrated experience with SEC/’34 Act compliance, disclosure and financial reporting issues
• Experience handling shareholder proposals, activism, executive succession or other governance matters
• Familiarity with securities offerings and M&A is a plus; prior in-house experience valued
• Strong academic record, excellent written and oral communication skills, and a client-service orientation
