Corporate Finance & Securities Associate / Special Counsel — New York

An elite New York-based corporate practice is seeking mid-level to senior associates and special counsel to join its capital markets and securities team. The group advises issuers and underwriters across the full spectrum of public and private securities offerings, from high-yield and investment-grade debt to equity and private-placement transactions.

The role offers hands-on responsibility for structuring, drafting and negotiating offering documents, managing deal execution and coordinating with clients and counterparties on sophisticated, high-profile financings.

This is an opportunity to work within a leading large-firm platform in New York with a strong flow of complex capital markets work.

• Experience advising, drafting and negotiating offering documents on public and private securities offerings
• Exposure to high-yield and investment-grade debt offerings, IPOs, follow-on equity offerings, and Rule 144A / Reg S transactions
• Preferred: liability management transactions, SEC filings and disclosure work
• Strong academic credentials and prior experience at a top-tier large New York firm preferred
• A full deal sheet / list of transactional matters is required to be considered
