Counsel - Corporate M&A - Tokyo

An opportunity has arisen for an experienced corporate counsel to join a market-leading M&A practice in Tokyo. The team is recognized globally for its work on complex public and private M&A transactions, advising multinational corporates, private equity sponsors and financial institutions.

The role involves providing expert legal advice on high-value transactions, including strategic planning, due diligence, negotiation and execution of mergers, acquisitions, disposals, joint ventures and other business combinations. You will work closely with senior lawyers and partners to develop transaction strategy, prepare for negotiations and manage regulatory filings.

As a deep technical specialist, you will lead due diligence processes, draft and review key transaction documents such as term sheets, purchase agreements and merger agreements, and contribute to talent development and knowledge management within the team. This position reports to a partner.

• Qualified lawyer with significant experience in corporate M&A, ideally gained at a leading international or top-tier local firm
• Deep technical expertise in complex cross-border transactions, including due diligence, drafting and negotiation
• Experience advising multinational clients, private equity firms or financial institutions
• Strong analytical and research skills, with the ability to develop and support transaction strategy
• Excellent drafting and communication skills in English and Japanese
• Ability to work collaboratively in a fast-paced, team-oriented environment
