Top-tier U.S. law firm is seeking a Debt Finance Associate to join its market-leading Finance & Banking practice in the San Francisco Bay Area. The role involves working on complex debt financings for corporate borrowers and lenders across a range of structures, including senior secured, mezzanine and subordinated debt, acquisition financings and loan workouts.

Successful candidates will join a large, high-volume debt finance team with significant private equity borrower work. The team values technical drafting and negotiation skills, commercial judgment and the ability to support deal execution on sophisticated transactions. 2–6 years' experience in debt finance, leveraged finance or related transactional practices.
Experience structuring, documenting and negotiating secured and unsecured financing transactions (e.g., senior secured, mezzanine/subordinated debt, acquisition financings, workouts).
Experience representing borrowers and/or lenders on complex transactions; private equity-related leveraged finance experience preferred.
Strong drafting, negotiation and deal-management skills; ability to work in a high-volume, fast-paced practice.
