An Am Law 50 firm is seeking a mid-level associate to join its Investment Management team, focusing primarily on private fund formation with an emphasis on private equity, private credit, real estate and other real assets, entertainment, and venture capital funds. The firm will consider candidates in any city where it has an office, with preferential consideration given to Dallas.

The Investment Management team advises private fund sponsors on the formation and offering of various U.S. and international pooled investment vehicles and bespoke fund-of-one arrangements, and counsels on new laws and regulations applicable to private funds and their managers. The team also represents institutional investors in allocating capital to private fund investments, including primary, secondary, and co-investment transactions. Attorneys work closely with investment advisory firms on operational matters such as internal governance, investment adviser compliance, carried interest and co-investment arrangements, spinouts, GP stakes, secondaries, reorganizations, fund restructurings, and portfolio acquisitions and dispositions.

The role involves close collaboration with industry teams covering private equity, real estate finance, EB-5 project finance, and consumer finance and fintech, offering the successful candidate an opportunity to develop specialized expertise in various client portfolio assets. The firm emphasizes early and frequent direct client work and a collegial office environment with sophisticated national matters.

  • At least 4 years of experience in private fund formation
  • Experience drafting and reviewing fund-related documentation, including private placement memoranda, subscription documents, and LLC and partnership agreements
  • Experience representing institutional investors in negotiating private fund investments
  • Working knowledge of relevant securities rules and regulations, including the Investment Advisers Act
  • Outstanding academic credentials and experience at an AmLaw 100 firm
  • Excellent written and verbal communication skills
  • Resume and law school transcript required to apply
