Junior Associate — Private Equity Debt Finance, Silicon Valley

Seeking a junior associate to join a busy Debt Finance team in Silicon Valley focused on private equity‑sponsored and lender-side financings. The role involves working on term and revolving facilities for leveraged buyouts, acquisition financings and corporate growth transactions.

Day‑to‑day responsibilities include reviewing and negotiating credit agreements and commitment papers, and drafting and negotiating related collateral documents and deliverables. You will work closely with deal teams across capital structures on complex credit solutions for sponsors, banks and private credit lenders.

Ideal candidates are collaborative, commercially minded and able to manage transaction drafting and negotiation under partner supervision while contributing to client execution and internal knowledge sharing.

• Experience representing private equity sponsors, banks or private credit lenders on term and revolving loan facilities (LBOs, acquisition financings, corporate growth)
• Hands‑on experience with credit agreements, commitment papers and related collateral documentation; strong drafting and negotiation skills
• Outstanding academic credentials and relevant law‑firm experience
• Excellent written and verbal communication skills
• Bar admission in the United States, or eligibility to obtain admission promptly
