Apply in confidence →A sophisticated national law firm with a dynamic and growing corporate practice is seeking a talented mid-level associate to join its corporate transactions team in Houston. The team handles complex transactions across a range of industries, with particular depth in private equity, mergers and acquisitions, and the energy sector — including power, renewable energy, and oil and gas.
This is an exceptional opportunity to gain hands-on experience across a diverse range of sophisticated corporate deals — from energy transactions to private equity acquisitions and cross-border M&A — while developing deep expertise in multiple high-demand practice areas. Associates will be involved in every stage of the deal lifecycle, from structuring and negotiation through closing.
Key responsibilities include:
- Assisting in the structuring, financing, negotiation, and execution of mergers, acquisitions, divestitures, and other corporate transactions across a variety of industries.
- Drafting and negotiating key transaction documents, including purchase agreements, ancillary closing documents, and related instruments.
- Supporting private equity and independent sponsor transactions, including leveraged buyouts, platform acquisitions, and add-on investments.
- Advising legal and business teams from deal inception through closing on both domestic and cross-border matters.
- Supporting energy-related transactions, including acquisitions and dispositions of power assets, joint ventures, and project development matters.
- Conducting due diligence and coordinating with multidisciplinary teams across practice areas.
- Assisting with general corporate advisory matters for private company clients.

- Mid-level associate experience in corporate transactions, with a focus on mergers and acquisitions, private equity, and/or energy transactions.
- Strong drafting, negotiation, and transactional skills.
- Experience with cross-border transactions is a plus.
- Admission to (or eligibility for) the Texas Bar is preferred.
