Mid-Level Associate, M&A / Private Equity — New York

A globally recognized M&A practice is seeking a mid-level associate with private equity experience to join its corporate M&A/PE team in New York. The group advises private equity sponsors and their portfolio companies on mergers, acquisitions, divestitures, joint ventures, corporate restructurings and general corporate matters, and is consistently ranked among the leading M&A practices worldwide.

The role centers on representing sponsors across the full deal lifecycle — from inception through closing — including drafting and negotiating purchase and merger agreements, equity documents such as LPAs and LLCAs, and ancillary transaction documents. The associate will also supervise and train junior team members, manage deal execution, and provide strategic legal advice directly to sponsors and portfolio companies.

Ideal candidates are commercially minded, comfortable with the pace of active dealmaking, and bring strong drafting, analytical and project-management skills alongside a client-service orientation.

• 4+ years of predominantly private equity experience
• JD (or LLM/foreign equivalent) from an accredited law school
• Admitted to the New York bar, or able to become admitted, and in good standing
• Strong academic record and intellectual curiosity
• Experience drafting and negotiating purchase and merger agreements, equity documents (LPAs, LLCAs) and ancillary transaction documents
• Commercial and business awareness, with strong judgment and initiative
• Excellent written and verbal communication, organizational and time-management skills
• Ability to stay calm under pressure while managing multiple projects
• Team player with a client-service focus and strong professional presence
• Fluency in English
