The successful candidate will counsel registered investment companies — including mutual funds, exchange-traded funds, listed closed-end funds, interval funds, tender offer funds, and business development companies — as well as their trustees, directors, and investment advisers on business and regulatory matters. Work spans fund formation, registration, ongoing compliance, and novel product development.

Responsibilities include drafting and reviewing prospectuses, statements of additional information, and shareholder reports; advising on compliance with federal securities laws, including the Investment Company Act of 1940 and the Investment Advisers Act of 1940; representing clients before regulators such as the SEC and state securities authorities; and collaborating with client teams across legal, portfolio management, product development, and compliance. The role also involves training and mentoring junior attorneys and supporting related practices, including financial services M&A.

  • 3–6 years of legal experience practicing as a registered funds attorney
  • J.D. from an accredited law school and admission to the bar in the relevant jurisdiction
  • Strong knowledge of securities laws and regulations, particularly those governing registered investment companies and registered investment advisers
  • Ability to communicate complex legal concepts clearly to clients and internal stakeholders
  • Excellent analytical, research, and problem-solving skills, with a collaborative relationship-building approach
  • Comfort working both independently and as part of a global team
  • Proficiency in the responsible and ethical use of artificial intelligence tools preferred, including identifying appropriate use cases, protecting confidentiality, and verifying outputs
