Tax Associate (Dallas or Houston) (3-4 years) — Multiple Offices

Our Tax practice advises clients on the tax implications of complex business transactions, investments, and restructurings. Our multidisciplinary team provides strategic, practical, and innovative tax solutions across domestic and cross-border matters, helping clients navigate sophisticated tax challenges and achieve their business objectives.

We are seeking a highly qualified associate with 3 to 4 years of transactional tax experience to join our Dallas or Houston offices. The ideal candidate will have experience negotiating and drafting tax-related provisions for a variety of transaction documents, including purchase agreements, merger agreements, partnership agreements, and credit agreements. Candidates should also have experience researching complex tax issues and structuring the tax aspects of corporate and partnership transactions, with a focus on tax planning related to mergers and acquisitions, private equity, debt finance, bankruptcy/financial restructuring, special situations, and/or private credit.

Stellar academic credentials and large law firm or equivalent experience at a Big Four accounting firm are required. This position requires availability to work in person, and all employees must comply with the firm’s employment policies.

• 3 to 4 years of transactional tax experience
• Experience negotiating and drafting tax-related provisions in transaction documents (purchase, merger, partnership, and credit agreements)
• Experience researching complex tax issues and structuring tax aspects of corporate and partnership transactions
• Experience in tax planning related to M&A, private equity, debt finance, bankruptcy/restructuring, special situations, and/or private credit
• Stellar academic credentials
• Large law firm or Big Four accounting firm experience
• Availability to work in person
