We are seeking a mid-level technology transactions attorney to join a busy Technology Transactions group. The role focuses on commercial technology deals and intellectual property licensing for a mix of emerging and established technology clients. Work may be based in multiple U.S. offices, including Palo Alto and New York.

Responsibilities include drafting and negotiating complex software, content and cloud-hosting licenses, partnering and distribution agreements, and technology-transfer arrangements. The position does not involve IP litigation or patent prosecution but may include counseling on transactional privacy, compliance and emerging AI regulatory issues.

The team emphasizes professional development; successful candidates will be commercially minded, quick learners who can manage multiple matters, draft tailored agreements, and contribute to group training.

3–5 years of experience in technology transactions or IP licensing
Substantive experience drafting and negotiating complex licensing and commercial technology agreements (software, cloud/hosting, content, technology transfer)
Familiarity with transactional issues related to AI, privacy, and regulatory compliance preferred
Strong drafting, analytical and project-management skills; ability to work independently and in teams
