Venture Capital Corporate Associate (Mid-Level)

A global law firm is seeking a mid-level corporate associate to join its growing Venture Capital practice. The role is open in either of two major East Coast markets, with hybrid flexibility between them.

The associate will work on a collaborative, leanly staffed team advising prominent venture-backed companies and institutional investors across all stages of the company lifecycle. The position offers significant responsibility, direct client contact, and the opportunity to help shape a busy, fast-paced practice.

• 3–6 years of corporate transactional experience
• Substantive experience on both the company side and the investor side of venture capital transactions
• Experience drafting and negotiating deal documents across Seed through late-stage financings, including term sheets, SAFEs, convertible notes, preferred stock purchase agreements, investors' rights agreements, and voting agreements
• Advising venture-backed companies on entity formation, governance, securities issuances, capitalization, and general corporate matters
• Representing venture capital funds and institutional investors in investment structuring and portfolio matters
• Prior experience at an Am Law 50 firm with a nationally recognized venture capital and emerging companies practice strongly preferred
• Admission to the Massachusetts and/or New York Bar, or eligibility for admission
• Outstanding academic credentials, sound judgment, and strong project management skills
• Ability to manage significant responsibility and client contact in fast-paced deal teams
