ESG Disclosure Recruiters
An ESG disclosure lawyer recruiter for issuers, underwriters, asset managers and the law firms that advise them. The work is securities disclosure: climate, human capital and the sustainability statements that sit next to the financials.
›ESG disclosure lawyer recruiter
An ESG disclosure lawyer recruiter places securities counsel who draft climate and sustainability disclosure for issuers and funds. On May 29, 2026 the SEC proposed in Release 33-11421 to rescind its 2024 climate rules, which remain stayed. CARB’s September 2025 estimate put roughly 2,600 companies under California SB 253, with Scope 1 and 2 reports due November 10, 2026. September 2026 IFRS slides put over 45 jurisdictions on a path to adopt or use ISSB Standards. Sartori & Partners has opened 14 such searches since 2023. A NASDAQ-listed industrial in Chicago hired disclosure counsel in 13 weeks in 2025.

The 2024 federal climate rule is stayed. Hiring still follows the disclosure that is in force: materiality under the existing securities laws, California emissions reporting, and EU and ISSB standards for groups that report abroad.

An ESG disclosure lawyer is a securities lawyer. The file is the registration statement, the annual report, the sustainability report that investors read next to them, and, for many U.S. companies, a state or European filing that uses the same emissions and risk facts. Sartori & Partners recruits that lawyer for law firms and for companies. The firm’s market map is 1,480,000+ lawyers. Hiring follows the Commission, California, the European Union and the IFRS Foundation.
On March 6, 2024 the Securities and Exchange Commission adopted climate-related disclosure rules under the Securities Act and the Exchange Act. On April 4, 2024 the Commission stayed those rules pending judicial review in the U.S. Court of Appeals for the Eighth Circuit. On March 27, 2025 the Commission voted to end its defense. On September 12, 2025 the Eighth Circuit held the petitions in abeyance until the Commission reconsiders the rules by notice-and-comment or renews its defense. On May 29, 2026 the Commission proposed to rescind the rules in full, in Release 33-11421 (File No. S7-2026-19). The proposal was published in the Federal Register on June 3, 2026. Comments were due August 3, 2026. The Commission’s rule page still lists the action as a proposal. The proposing release states that the 2024 rules remain stayed.
The same release points registrants back to the Commission’s 2010 climate-disclosure guidance. Where climate matters are material, that guidance directs companies to Regulation S-K items on the business, legal proceedings, risk factors, and management’s discussion and analysis, and to the financial-statement consequences under the applicable accounting standards. Human-capital disclosure is already on that form. On August 26, 2020 the Commission adopted amendments to Regulation S-K Items 101, 103 and 105, effective November 9, 2020, requiring a description of human-capital resources, including the number of persons employed, to the extent material to an understanding of the business. A disclosure counsel still marks up those items. The stayed 2024 rule did not retire them.
Antifraud liability did not wait for the 2024 rule. On March 28, 2023 the Commission announced that Vale S.A. had agreed to pay $55.9 million to settle charges that its disclosures about dam safety were false and misleading. The payment was a $25 million civil penalty plus $30.9 million of disgorgement and prejudgment interest. The Commission’s release said the statements ran through sustainability reports and other public disclosures, and that public companies can be held accountable for material misrepresentations in ESG-related disclosures on the same terms as any other material misstatement. That settlement is a 2023 case. It is still the clean illustration that a sustainability report is a securities document when the issuer’s securities are in the U.S. market.
California moved on a different statute. SB 253, the Climate Corporate Data Accountability Act, defines a reporting entity as a U.S.-formed business with total annual revenues above $1 billion that does business in California. The statute requires public disclosure of Scope 1 and Scope 2 emissions starting in 2026, and Scope 3 starting in 2027, and it caps administrative penalties at $500,000 in a reporting year. CARB’s September 2026 guidance for SB 253 reporting tells entities to submit Scope 1 and Scope 2 reports, or a statement of non-reporting where the December 2024 enforcement discretion applies, before November 10, 2026, and it states that Scope 3 is not part of that 2026 submission. White & Case, on September 1, 2026, reported that the guidance accepts 2026 submissions whether or not assurance has been obtained, and that SB 253 remains in effect while SB 261 is on hold.
SB 261, the climate-related financial risk statute, applies at a lower revenue line. Mayer Brown, writing on August 6, 2026, described the threshold as annual revenue over $500 million for U.S. companies doing business in California, with biennial climate-risk disclosure. The same note records that on November 18, 2025 the Ninth Circuit granted a preliminary injunction pending appeal as to SB 261 only, and that CARB said it would not enforce the statutory January 1, 2026 deadline while that injunction stands. SB 253 was left in effect. A hiring plan that treats the two statutes as one switch will miss the emissions report that is still due.
CARB’s own September 2025 preliminary list is a staff estimate, not a final determination of who must file. The Harvard Law School Forum on Corporate Governance, on October 12, 2025, reported that CARB staff estimated roughly 2,600 companies would be subject to SB 253 and approximately 4,100 to SB 261, from a list released on September 24, 2025. Use those figures as the scale of the preliminary net. Use the statute and the November 10, 2026 guidance as the obligation.
Cross-border groups meet a second calendar. Directive (EU) 2026/470 of February 24, 2026, published in the Official Journal on February 26, 2026 and in force on March 18, 2026, amends the Corporate Sustainability Reporting Directive. An EU undertaking is in the revised individual scope when, on its balance-sheet date, it exceeds EUR 450 million of net turnover and an average of 1,000 employees during the financial year. The same pair of thresholds applies to EU groups. Member States must transpose Articles 1, 2 and 3 by March 19, 2027. Recital 31 limits the first-wave application to three financial years from January 1, 2024, and applies the revised second-wave dates to financial years starting on or after January 1, 2027. A U.S. parent with an EU subsidiary or a dual listing still needs counsel who can read that statement against the Form 20-F or Form 10-K. The London and European seat, including who owns the file inside a company, is covered in ESG legal: the hype is over, the transformation remains.
Issuers that report under ISSB standards meet a third text. Slides for the IFRS Foundation’s World Standard-setters Conference 2026 plenary, in the September 2026 conference set, state that over 45 jurisdictions are on a journey to adopt or otherwise use the ISSB Standards, and they flag jurisdictional variation as a cross-border problem. A disclosure counsel on a U.S. issuer with listings or subsidiaries in those markets is reconciling ISSB, the EU standards and the U.S. materiality items. That reconciliation is legal work. It sits with securities counsel, often beside the compliance and regulatory team when the chief compliance officer owns the controls.
What the disclosure file contains in 2026.
Four documents recur. The periodic report, the offering document, the California submission, and the sustainability statement a dual reporter files in Europe.
On an SEC registrant the annual cycle is still the Form 10-K or Form 20-F. Disclosure counsel reads risk factors and MD&A for climate and severe-weather effects that are material to that issuer, checks the human-capital discussion required since the November 9, 2020 effective date of the Item 101 amendments, and reads the sustainability report for statements that contradict the filed document. The Vale settlement of March 28, 2023 is the enforcement record for that last check. Counsel also handles comment letters when the staff asks how a voluntary climate target, a physical-risk paragraph or a workforce metric was prepared.
On a financing, the same lawyer joins the working group for the Form S-1, Form F-1 or a follow-on. Underwriters’ counsel and issuer’s counsel both touch the disclosure. A sustainability narrative in a roadshow that is absent from the prospectus, or a prospectus risk factor that the sustainability report has already retired, is a diligence item. Firms that hire for IPOs and public offerings often discover the gap at the first drafting session. The lateral they need has staffed that session, not only a general corporate rotation.
On a California reporter the 2026 work is narrower and dated. Scope 1 and Scope 2, a consolidated parent report where the rules allow it, and the non-reporting statement CARB described for entities that were not collecting data as of December 5, 2024. Counsel decides who signs, which entity in a group is the reporting entity, and how the emissions boundary lines up with the 10-K. Assurance can wait for a later cycle: White & Case’s September 1, 2026 note of the CARB guidance says 2026 submissions are accepted with or without it. The legal judgment about scope and consistency cannot wait.
On an EU or ISSB reporter the work is a mapping memo. Which entity exceeds EUR 450 million and 1,000 employees. Which financial year is still inside the first-wave window that Recital 31 of Directive (EU) 2026/470 limits to three years from January 1, 2024. Which datapoints in a sustainability statement would be material, or misleading, if repeated in a U.S. filing. Companies that want the London and European version of this seat, including fund labels and UK reporting, should read ESG legal: the hype is over, the transformation remains. The U.S. search is the securities file.
Five buyers, one disclosure skill.
The same lawyer is hired into different seats. The statute that forces the hire is what changes.
Public-company legal departments. The general counsel or deputy general counsel hires a disclosure counsel, an assistant general counsel for securities, or a corporate-secretary lawyer who actually drafts. The trigger in 2026 is a 10-K that still has to discuss material climate and human-capital matters, a comment letter, or a board that wants one owner for the sustainability report and the filed document. The Vale matter shows why those two texts are one file. These are in-house searches. They run through in-house counsel recruiting.
Law-firm securities and capital-markets groups. Partners hire senior associates, counsel and, less often, laterals with a book, when the group is advising issuers or underwriters and the disclosure comments have outgrown the generalist corporate pool. The assessment is matter history: registration statements, comment-letter responses, and climate or human-capital sections the candidate drafted. Partner moves run through partner recruiting. Associate and counsel moves run through associate recruiting. The regulatory depth that sits next to pure disclosure is securities regulation.
Investment banks and underwriters. In-house capital-markets counsel at banks hire lawyers who have sat on the underwriters’ side of disclosure diligence. The question is whether the issuer’s sustainability report, climate target or human-capital metric can go into a prospectus. That hire is a securities counsel seat inside a bank, often in New York.
Asset managers. Fund complexes hire counsel for prospectus and shareholder-report disclosure when a product uses an environmental or sustainability term. The work is fund disclosure and the consistency of stewardship and marketing claims with the offering documents. It overlaps compliance recruitment when the chief compliance officer owns the review. It stays a securities-disclosure search when the work product is the filed or offered text.
California reporters and EU groups that are not classic SEC-disclosure shops. SB 253 reaches private U.S. companies above $1 billion in revenue that do business in California. A family-owned manufacturer or a private-equity portfolio company can owe a November 10, 2026 Scope 1 and Scope 2 report without being an Exchange Act registrant. Directive (EU) 2026/470 can put an EU subsidiary of a U.S. group into a sustainability statement once turnover and headcount clear EUR 450 million and 1,000 employees. Those companies hire their first disclosure counsel, or they add the file to a deputy general counsel. The general counsel clock, when the company is hiring the chief legal officer rather than the specialist, is the one published from 52 general counsel and chief legal officer placements since 2017: 24 days to a shortlist and 11 weeks to an accepted offer.
How an ESG disclosure mandate has run.
Company mandates are retained. These timings are the ESG disclosure record since 2023.
Sartori & Partners was founded in 2017. Since then the firm has completed 400+ placements (230+ in-house), of which 52 were general counsel or chief legal officer. Offer acceptance on retained searches is 96%. Retention of placed in-house leaders is 97% at 12 months and 91% at 24 months. Every company search is retained. The fee is 25–30% of the hire’s total first-year compensation. Thirty percent of that fee is paid as a retainer at engagement and kept if the client cancels. A general counsel, chief legal officer or chief compliance officer search carries a 12-month replacement. Other in-house searches, including disclosure counsel, carry 6 months.
The ESG disclosure book is a subset, and it has its own count. Since 2023, and through September 2026, the firm has opened 14 ESG disclosure searches. 9 were company-side, for an issuer, a bank or an asset manager. 5 were law-firm associate, counsel or partner searches. 11 of those 14 had reached an accepted offer by September 2026. Across those 11, the median shortlist arrived on day 19 and the median accepted offer landed in week 13.
One of those completed files is a NASDAQ-listed industrial manufacturer in Chicago. In 2025 the company hired disclosure counsel to own the climate and human-capital sections of the Form 10-K and the consistency review of its sustainability report. The shortlist and the accepted offer matched the median of the 11: day 19, week 13. The deputy general counsel later said: The shortlist was disclosure lawyers who had already marked up a 10-K climate section and a human-capital item.
A general counsel search on the same firm uses the published clock. Across the 52 general counsel and chief legal officer placements since 2017, the shortlist is 24 days and the accepted offer is 11 weeks. Use that clock when the board is hiring the chief legal officer who will then recruit disclosure counsel. Use the 19-day and 13-week median when the requisition is the disclosure seat itself. Companies start that conversation at a confidential briefing or through the client contact form.
Price the seat as securities counsel.
No public series isolates ESG-disclosure pay. The benchmarks that exist are the securities associate grid, in-house title cash, and the chief legal officer total that this seat is not.
Law firms pay this lawyer on the associate or counsel scale of the office, or on a partner compensation system when the move is a lateral with a book. Companies pay an in-house securities or disclosure title. Both comparisons for 2026, including what is and is not a securities-only premium, are set out on the securities attorney salary page. Where the seat reports to a chief compliance officer, or the requisition is written as compliance counsel, use the compliance attorney salary page beside it.
Do not import the chief legal officer total. Sartori & Partners’ analysis of SEC proxy filings, published on the general counsel pay page, puts median total compensation at $4.76 million for sitting general counsel who are named executive officers at 236 of the largest U.S.-listed companies in the 2026 proxy season. That is a named-executive-officer total. A disclosure counsel, an assistant general counsel or a senior associate is a different job and a different cash line. The fee on a company search is still 25–30% of the hire’s own first-year total compensation, with a retainer equal to 30% of the fee.

ESG disclosure recruitment — common questions
What does an ESG disclosure lawyer do after the SEC proposed to rescind its climate rules?
The lawyer drafts and checks securities disclosure: climate and workforce items that are material under the Commission’s 2010 guidance, as the May 29, 2026 proposing release (Release 33-11421) restates it, plus sustainability-report statements that can become antifraud facts. The 2024 climate rules were stayed on April 4, 2024 and remain stayed. California SB 253 still requires Scope 1 and Scope 2 reports, and CARB’s September 2026 guidance sets the deadline at November 10, 2026. Groups above the thresholds in Directive (EU) 2026/470 still have an EU sustainability statement to map.
Who hires an ESG disclosure lawyer?
Five buyers show up on live mandates. Public-company legal departments hire disclosure counsel and assistant general counsel for the 10-K, 20-F and registration statement. Law-firm securities groups hire laterals who can run that disclosure for issuers and underwriters. Investment-bank legal teams hire counsel for offering diligence. Asset managers hire fund-disclosure counsel. Private and public companies with more than $1 billion in revenue that do business in California hire for the SB 253 file even when they are not SEC registrants. Health and Safety Code section 38532 sets that revenue test.
How long does Sartori & Partners take to hire ESG disclosure counsel?
Since 2023, Sartori & Partners has opened 14 ESG disclosure searches, 9 of them company-side and 5 at law firms. 11 of those 14 had reached an accepted offer by September 2026. Across those 11, the median shortlist arrived on day 19 and the median accepted offer landed in week 13. A NASDAQ-listed industrial manufacturer in Chicago hired disclosure counsel in 2025 on that median. A general counsel or chief legal officer search is a different clock: 24 days to shortlist and 11 weeks to an accepted offer, across 52 such placements since 2017. Company mandates are retained only. The fee is 25–30% of first-year total compensation, and 30% of the fee is the retainer. Replacement is 6 months on this specialist in-house seat and 12 months when the hire is a general counsel, chief legal officer or chief compliance officer.
What does ESG disclosure counsel get paid?
There is no published salary series for an ESG-disclosure title. Price the seat as securities counsel. The 2026 comparison of U.S. law-firm associate lockstep and in-house securities title cash is on the securities attorney salary page, and compliance-counsel cash is on the compliance attorney salary page. Named executive officer general counsel at 236 of the largest U.S.-listed companies had median total compensation of $4.76 million in the 2026 proxy season, from Sartori & Partners’ reading of SEC proxy filings on the general counsel pay page. That figure is a chief legal officer total. It is the wrong benchmark for a disclosure counsel.
How is this search different from a general securities search?
A capital-markets lawyer can run an offering and still have little file time on climate, human-capital or sustainability-statement disclosure. Securities regulation covers the rulebook. IPOs and public offerings cover the registration statement. This search asks who has marked up the disclosure that investors and, where it applies, CARB or an EU sustainability statement will actually read. The parent practice is securities and capital markets. The London and European legal-seat read is ESG legal: the hype is over, the transformation remains.
