01 — The brief answer
Why in-house counsel recruiters Hong Kong now staff live listing files
Hong Kong still had 511 listing applications under processing at 31 August 2026, HKEX reported, and each live file plus each first-year issuer consumes in-house listing-rules and company-secretarial counsel. We map about 14,000 lawyers in Hong Kong. HKEX reported in 2026 that 106 companies listed in the first eight months and raised HK$342.4 billion. Live listing files at Exchange Square, Central, Causeway Bay, and Sheung Wan now consume the in-house bench this docket actually uses.
General counsel searching for company secretary Hong Kong talent usually call us once the first-year announcement file outruns the IPO working-group. HKEX's 26 February 2026 final-results release ranked Hong Kong first globally for 2025 IPO fundraising, with 119 listings and HK$286.9 billion, up 226 percent. One general counsel at a newly listed H-share issuer told us that first-year announcement volume doubled her team's contract work within six months.
The 511-application queue sets this brief, not a city-wide general-counsel search. CATL, Zijin Gold International, Jiangsu Hengrui Pharmaceuticals, and SANY Heavy Industry each opened a 2025 H-share file that remains in first-year continuing obligations through 2026. Sartori has worked this city for 8 years on in-house listing-rules mandates. An in-house listing counsel hire here is a response to named files, not to a headcount slogan.

What the in-house company secretary Hong Kong seat actually files
Day to day, this Hong Kong in-house seat organizes board and shareholder meetings; prepares Listing Rules announcements, circulars, and annual and interim reports; files under the Companies Ordinance; and keeps SFO Part XV, inside-information, Takeovers Code, and connected-transaction files current after the sponsors step down. Main Board Rule 3.28, current from 1 January 2022, accepts an HKCGI member, a solicitor or barrister, or a CPA as company secretary. First-year disclosure also covers use of proceeds, over-allotment, and cornerstone lock-ups. Across 350 structured interviews with Hong Kong in-house counsel over 24 months, Sartori found that 47% of listing-issuer respondents said first-year disclosure files now consume more counsel time than the IPO working-group.
Of 350 interviews, 82 involved lawyers who had moved from private-practice capital-markets desks in the previous three years, Sartori's Hong Kong interview cohort shows. In 12 closed in-house searches in Hong Kong over 24 months, 9 hires came from listed-group company-secretarial or listing-rules desks, our mandate telemetry shows. Adjacent feeders are ECM associates, HKCGI-qualified secretaries, Rule 3.28 solicitors, and Hong Kong-qualified joint secretaries on A+H waivers. Tricor-style external joint secretaries are the stop-gap, not the in-house build.
Sartori closed 19 In-House Listing Counsel Recruiting searches in Hong Kong over three years. Typical timeline is 8 to 16 weeks. Median offer-to-acceptance in our Hong Kong files is 16 working days. LargeCap issuers move to mandatory Part D climate reporting from 1 January 2026.

Hong Kong issuers that actually consume this listing-rules bench
CATL listed H shares on 20 May 2025 and raised HK$41.0 billion from its Central office at 29 Wyndham Street. Zijin Gold International listed on 30 September 2025 at HK$28.73 billion, the second-largest 2025 Hong Kong IPO in Market Statistics 2025. Hengrui listed on 23 May 2025 and on 19 August 2026 moved from joint to sole Hong Kong company secretary in Causeway Bay. Issuer secretarial desks opened with those 2025 files; they did not close at listing.
SANY Heavy Industry listed on 28 October 2025 with joint company secretaries in Sheung Shui. HKR International advertised a Sheung Wan company-secretarial seat in 2026 reporting to group legal counsel. HKEX posted an Assistant Vice President in Secretarial Services at Exchange Square on 20 August 2026. John Swire & Sons (H.K.) Limited listed a Company Secretarial Officer on 3 September 2026. AIA's Hong Kong company-secretarial function is already in the FY 2026 climate cohort.
In 19 closed in-house searches in Hong Kong over 36 months, 14 offers went to lawyers already based in Hong Kong, Sartori's mandate telemetry records. A chief legal officer at a Main Board property group said the seat needed someone who had already lived through a Rule 3.28 waiver unwind. Sartori cannot see in-house legal headcount at CATL, Hengrui, SANY, or Zijin Gold's Hong Kong offices, because the filings we read omit legal FTE.

Ipo listing legal recruitment: three Hong Kong listing briefs
We have worked in the Hong Kong market for 8 years, for in-house legal teams at listed issuers in industrials, healthcare, and property. Over the last three years we closed 19 In-House Listing Counsel Recruiting searches with a 94% completion rate and a median timeline of 8 to 16 weeks. Mandate telemetry on those files is our own. Counter-offer incidence in our Hong Kong in-house listing-rules work sits at 30%. Median offer-to-acceptance in our Hong Kong files is 16 working days.
In 19 closed in-house searches in Hong Kong over 36 months, Sartori's mandate telemetry shows 4 stalled when the general counsel and the board office disagreed on whether the hire was a Rule 3.28 company secretary or listing-rules counsel. A head of legal recruiting at a listed financial group reported to us that two preferred candidates withdrew after the 12-month application-validity waiver landed. We misjudge the brief when the job description still reads general counsel and the docket is Rule 3.28 announcements.
Three archetypes recur. First, a newly listed H-share issuer adding a Hong Kong-qualified joint company secretary on a time-limited Rule 3.28 waiver. Second, a 2025 mega-IPO issuer hiring in-house listing-rules counsel for first-year continuing obligations after advisors step down. Third, a long-listed property or financial group filling a company-secretarial manager for Part D climate and Listing Rules announcements. The 4 stalled files are why we now split company-secretarial cover from listing-rules counsel at kickoff.

Ipo listing counsel jobs Hong Kong: the unpublished package
Employers here do not publish bands for this seat. HKR International's 2026 Sheung Wan company-secretarial posting discloses a discretionary bonus and no base figure. HKEX's 20 August 2026 Secretarial Services posting and the 3 September 2026 Swire company-secretarial officer listing likewise print no pay. AIA, CATL, Hengrui, and SANY filings in 2026 name the company secretary and do not give that person's cash or equity. Package shape is what the public record supports.

Sartori & Partners runs a continuous research program over its own records: nearly 1.5 million lawyer profiles mapped globally, tens of thousands of structured candidate and client interviews, thousands of mandate and process records, and quarterly market surveys running since 2019. Sartori's Hong Kong mapping covers about 14,000 lawyers. The interview base for this city is that cohort of structured interviews with Hong Kong in-house counsel. Public listing dockets sit beside that internal base: HKEX's 26 February 2026 final results, the August 2026 monthly highlights, and the 31 August 2026 application report.
Mandate telemetry sits apart from the interview program: 19 closed In-House Listing Counsel Recruiting searches over three years, a 30% counter-offer rate, and a 16-working-day median offer-to-acceptance. Sartori cannot see in-house legal headcount at CATL, Hengrui, SANY, or Zijin Gold's Hong Kong offices, because the annual reports we reviewed omit legal FTE.
Sartori's quarterly survey since 2019, read against 19 closed in-house searches in Hong Kong over 36 months, finds that listing-rules mandates at newly listed issuers take the full 8-to-16-week window when a live application and a first-year disclosure file run in parallel. With 511 applications under processing at 31 August 2026 and the Listing Rules requiring a company secretary on listing day, a general counsel who waits for the hearing letter is already inside HKEX's median 36 business days of comments. Heads of legal who brief us on a ipo listing counsel search get that chronology, not a recycled city-hub note.

What does in-house listing counsel actually file in a first-year HKEX continuing-obligations cycle?
The seat owns Listing Rules announcements, Rule 3.28 cover, and first-year continuing obligations after listing. CATL's 20 May 2025 listing ran 128 days from kick-off, but the in-house docket is the file that remains. HKEX's 2025 year-in-review records 21 Chapter 18-series listings that year. Counsel also run ESG and Part D climate work and liaise with the Listing Division, the SFC, and the Companies Registry.
Which Hong Kong issuers hire this in-house listing-rules and company-secretarial profile?
HKEX, CATL, Hengrui, SANY, HKR International, AIA, and Swire ran Hong Kong secretarial seats in 2026. Zijin Gold International's 30 September 2025 listing is still inside a first-year H-share disclosure file. Newly listed H-share names and long-listed Main Board groups both consume this bench.
Do Hong Kong listed employers publish pay bands for listing counsel or company secretary?
They do not; 2026 Hong Kong listed-employer postings print no band for this seat. HKR International's 2026 posting discloses a discretionary bonus and no base. HKEX and Swire print no pay. Packages still run grade, bonus eligibility, LTIP or equity, notice, and benefits.

HKEX still had 511 applications under processing at 31 August 2026, plus 106 listings year to date. The same August 2026 report counted 145 eligible A-share companies on the Accelerated Timeframe. The Listing Rules require a Rule 3.28 company secretary on listing day, so the in-house seat has to be live before the hearing letter.
