In-house counsel salary in Milan 2026: how many seats €1 million funds.

A dated gross figure in euros and dollars first, then who can actually pay it. The measurable 2026 series is an employer-survey title average plus the industrial managers' floor, because a listed Italian issuer does not print in-house counsel cash.

€1 million of 2026 Milan cash is a seat count, not a headline.

A company asking what a 2026 in-house counsel salary in Milan actually buys is asking how many dated seats one million euros funds. A title-and-employer file does not record cash.

What a 2026 in-house counsel salary in Milan actually funds

The table is the page. Euros first, dollars at the 6 October 2026 reference rate, then how many such seats one million euros buys. Each row is one instrument. Rows are not averaged together.

Listed Italian issuers price directors and statutory auditors. They do not price the counsel who reports to them. Recruiter salary guides are not used here. The figure that can be dated and divided is the ERI employer-survey average for In-House Counsel in Milan, last updated 2 October 2026: €99,570 gross, median €98,201, average bonus €6,572, published total compensation €104,772.62.

Those four numbers do not add. €99,570 plus €6,572 is €106,142, which is not the published total. The median plus the average bonus is €104,773, the published €104,772.62 rounded to the euro. The hourly print and the US-style degree chart on that page are not used.

ERI via SalaryExpert, 2 October 2026 ↗

The €85,000 floor is the industrial dirigenti minimum from 2026, up from €80,000 in 2025, signed 13 November 2024 and in force from 1 January 2025 through 31 December 2027. Il Sole 24 Ore put Federmanager’s represented managers at about 80,000. Variable pay is obligatory for those managers. A 6 percent one-off of 2024 gross covers only a narrow subset (in grade since 1 January 2019, no other increases, 2024 gross at or below €100,000). It is not 2026 salary.

Cassa Forense, on 4 May 2026, put 2024 mean professional income at €51,912 nationally and €87,475 in Lombardy, against €26,368 in Calabria, across 228,641 members (211,464 active; 17,177 pensioners still in practice). That is self-employed income. €99,570 is €12,095, or 13.8 percent, above the Lombardy mean; the Lombardy mean is 68.5 percent above €51,912. Gazzetta di Milano, 14 September 2026, split the national series at €67,959 for men and €33,829 for women ($76,600 and $38,100). At the average, €1 million funds 10.04 seats; at the senior band, 8.81; at the floor, for an industrial manager only, 11.76.

A 2026 Milan in-house counsel cash figure is a seat count before it is a paycheck.
On the 2026 figure
03 Who pays it

The employer is a company. The classification decides which number binds.

Four buyers write Milan in-house offers. Only one of them is bound by the €85,000 industrial floor. The survey average does not know which buyer it is pricing.

01

Industrial groups on the managers' contract

The 13 November 2024 renewal sets a €85,000 minimum from 2026 and makes variable pay obligatory. It covers industrial dirigenti, not a quadro.

02

Listed issuers on Euronext Milan

Consob counted 195 Euronext Milan companies at 30 June 2026. They publish director pay. They do not print counsel cash. The title average is what circulates instead.

03

Italian subsidiaries of foreign parents

The local contract can show a base, a car and a welfare plan. The parent grant is often a line Milan payroll cannot price.

04

Family-controlled groups and the City

A family group can reopen the grade after an offer. The City prints a position band plus a result band, and keeps municipal legal fees in a separate pool.

The interview record is a different base from the map. Across 250 structured interviews with Milan general counsel, heads of legal and senior in-house counsel, the offer that fails is the offer that names a title and skips the classification. 9 of 17 closed Milan in-house searches over three years were priced on a dirigente classification. 8 were priced on a quadro band. The classification was settled before the search opened in 11 of the 17.

Consob’s Statistical Bulletin no. 29/1, July 2026, counted 416 supervised companies at 30 June 2026 (401 Italian, 15 foreign), down from 427 at 31 December 2025 and 424 at 30 June 2025. Euronext Milan stood at 195, against 198 at end-2025 and 202 at 30 June 2025: one new admission and four delistings in the half. The 25 July 2026 release described that admission as a translisting from Euronext Growth Milan, not an IPO. Euronext Growth Milan stood at 203, against 211 at end-2025. Vorvel stood at 18. Supervised-issuer capitalization was about €1,209 billion, up 12.3 percent from end-2025. None of those counts is a counsel’s salary.

The City of Milan does print a number, and it is not the ERI average. The 2025 managers’ fund pre-agreement sets fascia-2 position pay at €55,632.76 and result pay at €22,253.10. The sum is €77,885.86, or $87,800. One million euros funds 12.84 such seats. A separate €400,000 pool covers professional fees of the municipal legal office. It is not a per-person salary and it is not added to the fascia band here. The Milan bar roll is the population around the seat, not the seat: 22,137 lawyers at 31 December 2025, 276 more than the 21,861 of a year earlier, and 3,675 trainees, against 3,715. That albo is not divided by Cassa’s 228,641 members. Neither list counts in-house counsel.

Floor bindsFloor does not bind

  1. Industrial dirigente The managers’ contract sets a minimum overall guarantee and makes variable pay obligatory. The survey average is a check on the offer. It is not the offer.
  2. Quadro, commerce, banking A different contract, or no managers’ contract at all. Quoting the industrial floor at a middle-manager seat describes a job the company has not opened.
  3. Listed counsel off the board The issuer prices directors and auditors. The counsel’s cash stays off the report. A title average is what circulates instead, and it does not know the grade.

A general counsel at a Euronext Milan industrial group put the mismatch in one sentence: “The average we were sent was a title average. Our counsel seat is a quadro. The floor they quoted does not bind it.” The floor in that sentence is the €85,000 industrial TMCG. The average is the €99,570 ERI cell. Both can be true on the same day, and neither is the offer.

If you have budgeted €1 million of cash, you have funded about ten average seats, about twelve floor seats, or about nine senior seats.

  • Name the grade first. The €85,000 floor binds an industrial dirigente. It does not bind a quadro. €68,618 cannot be an industrial manager’s pay.
  • Do not add the bonus to the average. €6,572 and €104,772.62 are separate rows. €106,142 is not a published figure.
  • Write the variable. On the industrial managers’ contract it is obligatory. An unwritten scheme does not match the contract.
  • Price the parent grant, or leave it out. An unpriced grant is treated as zero against a car and a written bonus.

Unless the seat is an industrial manager, a municipal manager, or a board director, your number will not be in a public table, and €99,570 will not name your contract.

  • Ask which instrument you are on. Base, written bonus, car, welfare, severance, parent grant. The average and the published total are different rows.
  • The floor follows the grade. On a quadro draft, €85,000 is someone else’s minimum. A dirigente draft at €68,618 is under the contract.
  • A non-compete is a paid clause. Article 2125 requires writing, consideration, and limits. Five years maximum for a dirigente, three for anyone else.
  • Compare what you can sign. A senior counsel at the Italian subsidiary of a foreign parent told us: “I could compare the base. I could not compare the grant. The other offer had a car and a written bonus, so that is the offer I could sign.”
The average we were sent was a title average. Our counsel seat is a quadro. The floor they quoted does not bind it.

04 Tax and the floor

The €99,570 average is a gross. It is not a net, and it is not a manager’s minimum.

Seniority on the ERI page, the industrial floor, and a simplified tax stack. Employee contributions and the municipal surcharge are left out, because they are not in the surveyed gross.

ERI’s bands, as of 2 October 2026, put entry pay at €68,618 and senior pay, eight or more years, at €113,522. The €99,570 average and the €98,201 median sit between them. Milan’s cost of living on that page is 38 percent above the Italian national average. That index is not added to the salary here. From 2026 an industrial dirigente’s minimum overall guarantee cannot sit below €85,000, so the entry band is €16,382 under the floor. A dirigente draft at €68,618 is under the contract. A quadro draft that cites €85,000 as binding is describing a promotion the company has not made.

Milan in-house gross bands against the 2026 industrial floor and the Lombardy bar mean. The bar mean is self-employed income and is marked as a contrast. ERI figures as of 2 October 2026.

ERI via SalaryExpert, 2 October 2026; CCNL Dirigenti Industria from 2026; Cassa Forense, 4 May 2026.

Law 30 December 2025, n. 199, article 1, comma 3, sets 2026 income tax at 23 percent to €28,000, 33 percent from €28,001 to €50,000, and 43 percent above €50,000. The middle rate had been 35 percent, so the most that slice can save is €440. On a simplified €99,570, with no deductions and no employee contributions, the tax is €6,440 plus €7,260 plus €21,315.10, which is €35,015.10, about 35.2 percent. That is not take-home pay.

Lombardy’s regional surcharge, rates published by the Finance Department on 28 January 2026, is 1.23 percent to €15,000, 1.58 percent to €28,000, 1.72 percent to €50,000, and 1.73 percent above that. On €99,570 the slices are €184.50, €205.40, €378.40 and €857.56, summing to €1,625.86. The municipal surcharge and employee social contributions are not in the ERI gross, and this page does not invent them. Severance accrual under Civil Code article 2120 is an employer stock of annual pay divided by 13.5: €7,376 on €99,570.

Legislative decree 27 December 2023, n. 209, article 5, in force at 30 June 2026, can count 50 percent of qualifying Italian-source employment income, up to €600,000 a year, for the transfer year plus four years. The person must have been non-resident for three prior tax years (six or seven if returning to the same group), stay four years, work mostly in Italy, and meet the qualification test. A minor child raises the exclusion to 60 percent. On €99,570, a qualifying 50 percent exclusion leaves €49,785 taxable and €13,629.05 of tax, against €35,015.10. Not every hire qualifies, and this is still not a net.

Simplified income tax on €99,570, before deductions and employee contributions, and the same tax if a qualifying 50 percent impatriati exclusion applied. Not net pay. Lombardy regional surcharge shown separately.

Law 30 December 2025, n. 199; Finance Department Lombardy surcharge, 28 January 2026; D.Lgs. 209/2023 art. 5.

05 The 2026 load

The seat is being rewritten by tax, by a thinner list, and by how Milan lawyers now work.

Four changes land on a Milan counsel in 2026. None of them is a census of open seats. Each one changes what the €99,570 average is being asked to buy.

Every employerNamed buyer only

  1. A thinner middle rate The personal-tax middle bracket moved. Payroll can show the gross saving. It cannot show it as a raise, and it cannot show it as a net.
  2. Inbound workers A qualifying transfer changes the taxable base. The regime has conditions, a cap and a stay commitment. Most Milan hires are not in it.
  3. Fewer supervised issuers The listed-company universe shrank in the first half while its market value rose. Disclosure of counsel cash did not appear to fill the gap.
  4. Tools on the desk The Milan profession reports wider use of machine tools in the work. That changes the counsel’s day. It does not change the contractual floor.

The tax change is already in force. A counsel on the ERI average sees at most €440 of gross income-tax relief from the middle-bracket cut, and only between €28,000 and €50,000. Treating that €440 as a raise spends a statutory change twice. Treating €13,629.05 against €35,015.10 as take-home pay spends a regime the candidate may not enter. The favored-income cap is €600,000. Eligibility is the constraint, not the cap.

The issuer count is demand, not pay. Euronext Milan went from 202 companies at 30 June 2025 to 195 at 30 June 2026, while supervised-issuer capitalization rose to about €1,209 billion. A counsel at one of the 195 is still undisclosed. A counsel at one of the four delistings is a different employer the week after, and still unpublished. Euronext Growth Milan’s drop from 211 to 203 is the same story at smaller issuers.

Gazzetta di Milano, on 14 September 2026, reported a Milan bar survey with Il Sole 24 Ore: 67 percent using artificial-intelligence tools in 2026, against 54.5 percent in 2025 and 32.9 percent in 2024. The national 2026 report on the profession, cited there, put the wider figure at 55.3 percent and at 70.3 percent under 40. Those rates are the profession, not a measured corporate-department rate. They are not a vacancy count. €99,570 is the employer survey as of 2 October 2026. €85,000 moves on the contract calendar. Issuers still do not print counsel cash.

06 Closing the hire

Settle the classification, then run the search on the clock the file actually keeps.

Milan has been a Sartori hub since 2017. The in-house line in the city is a small closed-file set. The figures below are that set, not a national average and not a split of the firm-wide placement count.

Over the trailing three years the Milan in-house line shows 17 closed searches, completion of 93 percent, counter-offers on 26 percent of the line, and a median of 16 working days from offer to signature. A typical file runs 4 to 7 months from brief to start. The counter-offer figure is a rate. It does not land on a whole number of closed files.

Of the 8 files priced on a quadro band, 5 closed inside the four-to-seven-month band and 3 did not. 4 of the 17 ran past seven months. All four were at family-controlled groups, and in all four the classification was reopened after an offer had gone out. Three of those four were quadro files. The fourth was one of the 9 priced on a dirigente classification. That is a miss in the brief, and it is ours: the search was opened before the grade was fixed. It is the uncomfortable figure in the set.

One file inside the band was a senior counsel hire at a Euronext Milan industrial group. The accepted offer landed at 18 weeks. The seat was a quadro, the grade was settled before the search opened, and no company is named. That interval is not the firm-wide GC median of 11 weeks, and it is not the 16-working-day offer-to-signature median. On GC and CLO searches the firm-wide average to a shortlist is 24 days. The Milan counsel file is not that book.

The firm-wide book is a different base, not a parent of that city file. Since 2017 Sartori & Partners has completed 230+ in-house placements, 52 of them GC or CLO. Acceptance is 96 percent. Retention is 97 percent at 12 months and 91 percent at 24 months. The fee is retained only, 25 to 30 percent of first-year total compensation; 30 percent of the fee is the retainer. On €104,772.62 that is €26,193 to €31,432, retainer €7,858 to €9,430. Other in-house searches carry 6 months’ replacement cover; GC, CLO and CCO searches carry 12. Quarterly surveys have run since 2019. The firm maps 1,480,000+ lawyers.

Sartori & Partners maps about 5,000 lawyers in Milan. The interview record is the 250 conversations already cited. The map does not contain a listed-issuer counsel salary. When a board asks for one, the answer is the table in section 02, the classification split above, and a file that runs past seven months if the grade is reopened after the offer.

BriefSignature

  1. Name the grade Dirigente, quadro, or a public fascia. If the brief cannot name it, the floor, the pension conversation and the maximum restraint are all still open.
  2. Name the instrument Survey average, contractual floor, written bonus, car, parent grant. A grant nobody in Milan can price is not part of the comparison the candidate will sign.
  3. Name what will not be printed A listed issuer will not put this counsel in the directors’ table. The first offer has to carry the number, because the annual report will not.

Three decisions come before a shortlist. The grade, in writing. Which cash is on the paper: the €99,570 average, the €85,000 floor, the €104,772.62 total, or a number the committee will pay. And whether variable pay, the car and any restraint are written and inside article 2125. Postponing those three is how the family-controlled files ran past seven months.

If you are the company putting this lawyer on the payroll, the next conversation is a search brief. Sartori’s in-house counsel recruiting desk runs that brief from the Milan hub. The research method is on the methodology page. The city page is Milan.

Milan in-house counsel salary: common questions

What is the in house counsel salary Milan average in 2026?

€99,570 gross is the ERI average for an in-house counsel in Milan as of 2 October 2026. The median is €98,201, the senior band (8+ years) is €113,522, and the entry band (1–3 years) is €68,618. Average bonus is €6,572. Published total compensation is €104,772.62. At the ECB rate of 6 October 2026, €1 = $1.1269, the average is about $112,200. Staff Attorney, Corporate Lawyer and Legal Counsel are the same €99,570 cell.

How many Milan in-house counsel seats does €1 million fund?

10.04 seats at the €99,570 average, 10.18 at the €98,201 median, 9.54 at the €104,772.62 total, 8.81 at €113,522, and 14.57 at €68,618. The 2026 industrial dirigenti floor of €85,000 funds 11.76 seats, and only if the seat is an industrial manager. The Lombardy mean of €87,475 funds 11.43 on the arithmetic and is 2024 self-employed income (Cassa Forense, 4 May 2026), not a salary.

Does the €85,000 floor apply to every Milan counsel?

€85,000 is the industrial dirigenti minimum from 2026, under the Confindustria–Federmanager renewal signed 13 November 2024 and in force through 31 December 2027. The 2025 figure was €80,000. It does not bind quadri, commerce, or banking. A City of Milan fascia-2 manager is on €55,632.76 of position pay plus €22,253.10 of result pay. The general-counsel title is a different page.

What tax hits a €99,570 Milan gross in 2026?

€35,015.10 is the income tax on a simplified €99,570, before deductions and employee contributions. Law 30 December 2025, n. 199, sets 23 percent to €28,000, 33 percent from €28,001 to €50,000, and 43 percent above. The cut from 35 percent saves at most €440. The Lombardy surcharge on the same base is €1,625.86, on rates published 28 January 2026. That pair is not net pay.

How does Milan in-house pay compare with the bar's own income?

€87,475 was Lombardy’s 2024 mean professional income, against a national mean of €51,912 (Cassa Forense, 4 May 2026). The ERI average of €99,570 is €12,095, or 13.8 percent, higher, and it is an employed-title survey, not pension-fund income. The Milan bar counted 22,137 lawyers at 31 December 2025, 276 more than 21,861 a year earlier. That roll is not a count of in-house counsel.

How long does Sartori take to close an in-house search?

11 weeks is the firm-wide median to an accepted offer on GC and CLO searches, and 24 days is the firm-wide average to a shortlist on those searches. Other in-house searches carry a 6-month replacement guarantee; GC, CLO and CCO searches carry 12 months. The fee is retained only, 25 to 30 percent of first-year total compensation, with 30 percent of the fee as a retainer. Since 2017 the firm has completed 400+ placements (230+ in-house), 52 of them GC or CLO, at a 96 percent acceptance rate. The Milan file is in the body, and it is not a split of the 230+.
