Associate, Corporate & Securities — Palo Alto

Leading national law firm seeking a transaction-focused corporate associate to join its Palo Alto corporate & securities / technology practice. The role involves advising emerging growth companies, venture capitalists and technology clients on M&A, financings, corporate governance, formation and public offering matters.

The team handles matters across the company lifecycle, from seed and venture financings through growth-company M&A and public offerings. The successful candidate will take responsibility for drafting and negotiating acquisition agreements and ancillary documents, managing deal execution, and supervising more junior team members.

California admission is strongly preferred. California pay range for this role (dependent on experience): $250,000 -$345,000.

• 3 - 5 years PQE in corporate/M&A or corporate & securities work
• Experience with public and private M&A transactions and ancillary documentation
• Experience advising emerging technology companies, including formation, seed/venture financings, and governance
• Strong academic credentials, excellent drafting and interpersonal skills, attention to detail, and ability to supervise junior associates
• Public company/IPO and SEC reporting experience preferred; California Bar admission strongly preferred
