Associate, Public Company & Capital Markets

Top-tier US law firm seeks a 3–7 year associate to join its public company and capital markets team. The role centers on SEC and stock exchange compliance, public company governance and day-to-day counseling, together with transactional capital markets work for issuers and underwriters.

The position will sit on an active public-company roster and handle a full range of offerings, including IPOs, follow-on offerings, PIPEs and ATM programs. Preferred U.S. offices include San Francisco, Palo Alto or Austin; multiple offices across the U.S. may be considered.

• 3–7 years PQE in capital markets and public company reporting/governance
• Experience with SEC and exchange compliance, corporate governance counseling and ongoing public-company reporting
• Transactional experience representing issuers or banks in IPOs, follow-on offerings, PIPEs and ATM programs
• Strong drafting, deal-management and client-counseling skills
