We are seeking a fund formation attorney with two to seven years of private investment fund formation experience to join a busy corporate practice in Palo Alto. The role involves representing both sponsors and investors across the full lifecycle of private investment funds.

The successful candidate will have completed fund formation transactions, sponsor-level transactions involving general partner and management company entities, and secondary transactions involving limited partner and/or portfolio company interests. You will work within a collaborative corporate department on sophisticated, cross-border fund matters.

The ideal candidate will bring prior experience from the corporate group of a national or international law firm and a strong record of academic achievement. This is an excellent platform for an associate looking to deepen a funds-focused transactional practice.

Two to seven years of private investment fund formation experience
Experience representing sponsors and investors in private investment funds
Demonstrated experience with fund formation, sponsor-level transactions (general partner and management company entities), and secondary transactions
Prior corporate department experience at a national or international law firm
High level of academic achievement from a nationally recognized law school
