Top-tier US law firm is seeking a Fund Formation Attorney to join its corporate practice across U.S. offices. The role focuses on advising private investment sponsors and institutional investors on fund formation and related sponsor-level matters.

Work will include structuring and documenting private investment funds, sponsor and management company arrangements, and secondary transactions involving limited partner and portfolio company interests. Candidates will join a national/international corporate practice and work on market-facing fund deals.

The team values strong technical fund formation experience, client-facing skills, and the ability to manage transactions across multiple stakeholders.

2–7 years of private investment fund formation experience
Experience representing both fund sponsors and investors on fund formation matters
Practical experience with sponsor-level (GP/management company) transactions and secondary transactions (LP and/or portfolio company interests)
Background in the corporate department of a national or international law firm
Strong academic credentials and demonstrable technical drafting and transactional skills
