Mid-Level Capital Markets & M&A Associate — Dallas

Leading corporate practice in Dallas is seeking a mid-level associate to join a Capital Markets and M&A team. The role focuses on public and private securities transactions, issuer-side counseling, and SEC and stock-exchange reporting and compliance.

Day-to-day work will include drafting and negotiating offering documents, preparing Exchange Act filings (Forms 10-K, 10-Q, 8-K, proxy statements), advising public companies on disclosure and corporate governance, and supporting public and private M&A matters.

• 3–5 years' post-qualification experience in capital markets and securities law
• Experience representing issuers in public and private offerings of debt and equity securities
• Proven knowledge of SEC reporting and compliance, including preparation of Forms 10-K, 10-Q, 8-K and proxy statements
• Familiarity with corporate governance, disclosure obligations and interfacing with regulators
• Public and private M&A experience a strong plus
• Excellent academic credentials, strong interpersonal and communication skills, and the ability to manage client relationships
• Experience at a large regional, national or international law firm preferred
