Seeking a senior securities associate to join a national capital markets and public company advisory team based in San Diego. The role focuses on public company reporting and compliance, corporate governance, and capital markets matters for issuers and underwriters across life sciences, technology and digital asset sectors.

You'll work on day-to-day public company counseling, SEC filings (including periodic reports, proxies and Section 13/16 matters), and capital markets transactions, collaborating with a large, cross‑border securities practice. The position is hybrid with regular in‑office presence.

JD from an accredited law school; admitted to practice in California.
Minimum ~5 years of capital markets/public company experience.
Experience with periodic reporting, proxy statements, Section 13 and Section 16 filings for large‑cap and mid‑cap public companies.
Strong knowledge of the Securities Act of 1933 and the Exchange Act of 1934, and Nasdaq/NYSE listing and governance rules.
Excellent research, drafting, communication and teamwork skills; prior large‑firm securities experience preferred.
