General Counsel Salary in Madrid 2026: how many seats €1 million funds.

One million euros funds 0.71 of the 2025 IBEX senior-manager mean of €1,404,000. The measurable series is that CNMV mean, and the regulator's own authorized pay, because a listed-company general counsel is usually absent from the directors' report.

€1 million of 2026 cash is a seat count, not a paycheck.

A company pricing a Madrid general counsel in 2026 is choosing an instrument: an alta dirección mean, a directors' mean, or a regulator's authorized maximum. Each one is dated. Each one buys a different number of seats.

Sartori maps about 2,500 lawyers in Madrid. That file records title and employer. It does not record cash. The cash that can be dated, converted and divided is the cash the Comisión Nacional del Mercado de Valores printed for 2025 and released on 21 September 2026, plus the maxima the CNMV publishes for its own senior posts.

What a 2026 general counsel salary Madrid cash figure actually funds

Local currency first, dollars at the 11 September 2026 rate, then how many such seats one million euros buys. Each row is a disclosed instrument, not a survey average.

There is no published 2026 average general-counsel wage for Madrid that survives a source check. Recruiter salary guides that print one were set aside. What the CNMV does publish, and what a remuneration committee in Madrid can actually put in a paper, is the mean remuneration of alta dirección — senior management — and, separately, the remuneration of directors. The corporate-governance report for 2025, published 21 September 2026, puts IBEX 35 alta dirección at 397 members and a mean of €1,404,000, against 380 members and €1,265,000 in 2024. Across all listed companies the same report counts 966 senior managers (916 in 2024) at a mean of €891,000 (€759,000 in 2024). Outside the IBEX the mean is €533,000 (€399,000 in 2024). Women were 25.56 percent of alta dirección overall and 27.7 percent inside the IBEX. Those percentages describe who sits in the category. They are not a general-counsel series either.

Banca d’Italia’s reprint of the ECB reference rates shows €1 = $1.1592 on 11 September 2026. Every dollar figure on this page uses that rate. Dollar amounts are rounded to the nearest $100, except the derived director-general average, which is $199,990. Seat counts are €1,000,000 divided by the euro figure, shown to two decimal places. One million euros funds 0.71 IBEX senior-manager seats, 1.12 all-listed senior-manager seats, and 1.88 non-IBEX senior-manager seats.

The directors’ report prices directors, and the general counsel is usually absent. The 2025 directors’ remuneration report, also published 21 September 2026, puts the average remuneration of listed-company boards at €5.4 million, up 26.4 percent. That €5.4 million is the board as a whole, not a person. The full-year average per director is €477,000, up 12.2 percent. All-listed executive directors averaged €2.4 million, up 26.3 percent. Non-executive directors averaged €173,000, down 1.14 percent. The same report’s table puts all-listed executive presidents at €3,670,000 (the narrative rounds that cell to €3.7 million) and IBEX executive presidents at €8,874,000. All-listed CEOs averaged €3 million, other executive directors €1.2 million, and non-executive presidents €411,000. €1 million funds 0.42 of one executive-director mean, 0.27 of one all-listed executive-president mean, and 0.11 of one IBEX executive-president mean. A general counsel is inside those cells only after appointment as a director.

Click a column header to re-rank. The IBEX executive-president mean of €8,874,000 is omitted here because it is the wrong comparator; it is stated in the paragraph above.

Arithmetic is €1,000,000 divided by the stated cash, to two decimal places. The director-general row is a derived average: €690,095.32 divided by 4 equals €172,523.83. The executive-director row uses the €2.4 million the CNMV states, treated as €2,400,000 for the division. See the sources.

CNMV retribuciones de altos cargos ↗

Two rows in that table are easy to misuse. The CNMV director-general average of €172,523.83 is €690,095.32 divided by a mean headcount of 4. The CNMV’s own page, updated March 2026, records that the Director General of the Legal Service was appointed on 1 September 2025 and that the previous holder ceased on 31 August 2025. The average therefore contains a legal-service post and three other director-general posts. It is not “the CNMV general counsel salary.” A seniority supplement of €37,133.25, paid to civil servants on special-services status, is not inside that average. Department directors received €746,226.71 in aggregate, at a mean headcount of 4.46. That pool is a layer under the director-generals. It is not divided into a per-person wage on this page. The president’s authorized maximum is €184,017.40 for one post. The vice-president’s is €184,014.60. Consejeros are authorized €159,713.82 across five posts, of which two born members are unpaid by the CNMV.

The other misuse is the executive-director mean. €2.4 million is what the CNMV states for all-listed executive directors in 2025. It is the number a board reaches for when it wants the general counsel to look like a director before it has made the person a director. At the IBEX executive-president mean of €8,874,000 the distortion is larger: €1 million funds 0.11 of that seat. One million euros funds 0.71 of one IBEX senior-manager mean. That is the sentence a remuneration paper can defend.

On the 2026 figure
03 Who pays it

The employer is a company, a bank, a fund or the regulator.

The 2026 Madrid general-counsel seat is an in-house job. Law firms instruct from the panel. The wage sits on the company's payroll.

01

IBEX and other listed companies

The general counsel sits beside the board, often combined with secretario del consejo, and is absent from the directors' remuneration report unless also appointed a director. The cash comparator the committee can actually print is the alta dirección mean.

02

The regulator's own bench

The CNMV publishes authorized maxima for its president, vice-president and consejeros, plus a pool for its director-generals. One of those director-general posts is the Legal Service. The pool is an average, not a company general-counsel wage.

03

Banks, energy and infrastructure

Madrid groups in energy, banking and infrastructure employ the general counsel the seat-count is written for. They pay in euros. A US chief-legal-officer median does not travel with the offer.

04

Funds and the in-house majority

CNMV-supervised fund managers and the broader Abogados de Empresa roll employ heads of legal who are not IBEX senior managers. ICAM's in-house study describes the role. It does not price it.

The interview set behind the pay readings on this page is 250 structured interviews. Inside it, the general-counsel cut is already fixed. Of 88 respondents sitting as general counsel or head of legal at Madrid companies of more than 250 staff, over a 24-month window, 61 said their own cash was not in the annual directors’ remuneration report, because they are not directors. Of 54 of those 88 who had seen a remuneration-committee paper in that same 24-month window, 39 said the first comparator on the paper was the IBEX alta dirección mean of €1,404,000. Each figure is a separate question put to that same group of 88.

A Madrid general counsel enters that table only by joining the board. Ley de Sociedades de Capital article 529 octies, in the consolidated text published as BOE-A-2010-10544, has the board of a listed company appoint a secretary, and permits a vicesecretary, neither of whom must be a director. The appointment follows a report from the nominations and remuneration committee. The secretary keeps the minutes, certifies resolutions, and watches that the board’s acts conform to the law, the bylaws and the board’s own regulation. The statute creates a board office. It does not create a published wage for the general counsel who sometimes holds it.

El País, on 3 December 2024, reporting an Esade study of the office as of May 2024, wrote that every IBEX 35 company has a secretario del consejo, that 20 also have a vicesecretario, and that only two still keep a separate letrado asesor. Of 55 secretariat members, 19 were Abogados del Estado on leave from the corps, and 23 combined the secretariat with leadership of the company’s legal function. A team sat behind 84 percent of secretaries, five members on average. Mean tenure was about 9 years. The profile was legal in 96 percent of cases. The dual hat is the Madrid pattern. The cash attached to it still sits outside the directors’ report unless the secretary is also a director. The Esade publication describes the office. The counts in this paragraph are the ones El País printed.

Cash is printedCash is withheld

  1. Regulator post An authorized maximum, or a pool across several director-generals, sits on a public page. The company paying a private-sector general counsel can read it. It is a different employer.
  2. Alta dirección mean The CNMV prints a senior-management mean for the IBEX and for listed companies as a whole. A remuneration committee can point at it. The mean is not the general counsel’s own line.
  3. GC off the board The seat may be combined with the board secretary. The directors’ report still prices directors. The missing number is not a median waiting offstage.

The college roll is a headcount of joiners, not a wage and not a census of the title. ICAM’s section page of 22 April 2026, with data at 31 March 2026, counts 15,059 section members, up 700 from 14,359 in March 2025. Abogados de Empresa stood at 3,649, and that section grew by 338 on the year. Familia stood at 5,612 and Procesal at 4,503. The largest sections are not the in-house section. The in-house section is a voluntary enrollment. It does not list who is a general counsel, and it does not say what they are paid. ICAM’s Memoria Anual 2025 presents 44,883 practicing lawyers and 28,168 non-practicing lawyers. This page does not add those two figures into a third total.

Diario Jurídico, on 23 April 2025, reported the ICAM study of in-house practice run with GAD3: 893 interviews. Mean age 46.9. Sixty percent had more than 11 years in the role. About 7 in 10 had come from law firms, and 8 in 10 worked exclusively in-house. Sixty-eight percent were in large companies, and 82 percent were practicing members of ICAM. Seventy-eight percent held senior responsibility: 39 percent as director jurídico and 39 percent as senior lawyer. Women were 42 percent of senior lawyers, and 35 percent of women led the department against 44 percent of men. Forty-two percent took part in business strategy. Twenty-six percent sat on the management committee. Twenty-three percent acted as board secretary. Thirty percent were involved in defining corporate strategy. No salary appears in that report. A director jurídico share of 39 percent is a title mix. It is not a euro.

Your first offer is a seat count. €1 million funds 0.71 of one IBEX senior-manager mean, and it does not fund an executive-director mean of €2.4 million.

  • Name the instrument before the search opens. Alta dirección mean, executive-director mean, or a number the remuneration committee will never print. If the brief cannot name it, the brief is not ready.
  • Do not import the US median. Above the Law’s 1 August 2025 reading of Corporate Counsel put the Fortune 1000 general-counsel median at $2.95 million, which is €2,545,200 at the 11 September 2026 rate. Most Madrid general counsel are not in a US proxy table.
  • Decide the secretary question on the brief. Article 529 octies requires a secretary. Combining the offices changes the credential and the committee conversation. It does not, by itself, put the person into the directors’ report.
  • Keep the regulator’s maxima in their own column. €184,017.40 is the CNMV president’s 2025 ceiling. It is a useful public anchor. It is not the offer for an IBEX general counsel.

Your title is not a published band. Unless you are a director, or you hold a CNMV senior post, next year’s directors’ report will not contain your cash.

  • Ask which mean the paper used. The IBEX alta dirección mean of €1,404,000 and the IBEX executive-president mean of €8,874,000 are both real 2025 figures. Only one of them is a defensible comparator for a general counsel who is not the president.
  • The dual hat is common and still off the table. El País reported that 23 of 55 IBEX secretariat members also led the legal function. The combination is a job design. It is not a disclosure.
  • Director jurídico is a frequent title, not a price. In the ICAM study of 893 lawyers, 39 percent held that title. The study printed no wage next to it.
  • A regulator post is a different contract. The CNMV director-general average of €172,523.83 includes the Legal Service among four posts. It will not match an IBEX offer, and an IBEX offer will not match it.
A Madrid general counsel enters that table only by joining the board.
On the directors' report
04 The desk

The alta dirección mean is the payroll context, not the general counsel's own line.

One million euros of general-counsel cash does not staff the department. The mean the CNMV prints is a senior-management average across hundreds of people, most of whom are not the lawyer.

Senior-management pay is a mean, not a general-counsel wage. The 2025 IBEX figure of €1,404,000 is the average of 397 senior managers. The all-listed figure of €891,000 is the average of 966. A company that treats its general counsel as alta dirección can show the candidate which of those means it used. A company that treats the same seat as an executive director is using €2.4 million, a cell the person does not occupy. The distance between those two 2025 numbers is the pricing error this page is built to make visible.

The layer under the title is described, and not priced, by the ICAM study. Of 893 in-house lawyers, 39 percent were director jurídico and 39 percent were senior lawyers. Twenty-six percent sat on the management committee and 23 percent acted as board secretary. Those shares are the shape of the desk a Madrid general counsel actually runs: a titled head, senior counsel who are not the head, a minority seat on the management committee, and a secretary hat that sometimes belongs to the same person. They are percents of 893 interviews reported on 23 April 2025. They are not euro bands for 2026.

CNMV mean remuneration of alta dirección in 2025, with the all-listed executive-director mean beside it so the wrong comparator is visible. Euros in thousands drive the bar. The executive-director mean is not a general-counsel wage.

CNMV, Informe anual de gobierno corporativo 2025 and Informe anual de remuneraciones de los consejeros 2025, published 21 September 2026.

CNMV authorized or derived cash for its own senior posts in 2025. These three sit in a narrow band around €160,000 to €184,000. They are regulator pay, not an IBEX general-counsel offer.

CNMV, retribuciones de altos cargos, page updated March 2026. Director-general figure is €690,095.32 divided by 4.

The public roll of in-house lawyers is larger than the general-counsel title and smaller than the profession. Abogados de Empresa at 3,649, inside a section roll of 15,059, is the closest college count of lawyers who have opted into an in-house section. The Memoria’s 44,883 practicing lawyers are the wider Madrid college. A general counsel is a subset of the first number and a smaller subset of the second, and neither publication isolates the subset. Pricing a search off the section roll, as if 3,649 people shared one wage, repeats the category error the executive-director mean already invites.

The US median makes the same error from the other direction. Corporate Counsel’s 2025 survey, as Above the Law reported on 1 August 2025, put the Fortune 1000 general-counsel median at $2.95 million across 544 legal chiefs. Converted at €1 = $1.1592, that is €2,545,200, and €1 million funds 0.39 of it. A Madrid board that opens with that dollar median, then divides by a rate from a different week, is not reading the CNMV table. The rate on this page is the 11 September 2026 reference, used once, on every conversion.

05 The 2026 load

The 2026 rules change the brief and still do not print the wage.

Pay-range duties, the secretary's dual hat, and a September publication of the CNMV reports all land on the same desk. None of them is a salary survey.

Every employerNamed seat only

  1. Pay-range duty Employers have to be ready to tell an applicant the pay range. That duty rewrites the offer letter. It does not publish what the general counsel earned last year.
  2. Secretary’s office The listed-company secretary remains a board appointment. Combining it with the general counsel changes the week. It does not move the person into the directors’ single figure.
  3. CNMV publication The annual governance and remuneration reports are the moment a committee can refresh its comparator. The reports price categories. They do not price one company’s general counsel.
  4. The in-house room The college’s in-house meeting is where Madrid and Barcelona departments compare the year. Attendance is not a wage, and a panel is not a mean.

Directive (EU) 2023/970 set a transposition deadline of 7 June 2026. The directive requires employers to give applicants information on the initial pay or its range, and it tightens what may be asked about pay history. The text is on EUR-Lex. It does not contain a Madrid general-counsel figure, and it does not convert the IBEX alta dirección mean into an individual offer. A company that is hiring a general counsel in the second half of 2026 has to know which pay range it is prepared to say out loud. That is a brief question. The answer is still one of the instruments in section 02, chosen on purpose, not a blend of the executive-director mean and the senior-management mean.

The disclosure calendar is now concrete. On 21 September 2026 the CNMV published both the 2025 corporate-governance report and the 2025 directors’ remuneration report. A remuneration committee writing a 2026 general-counsel paper has those two documents, the authorized maxima on the CNMV’s own senior-pay page as updated in March 2026, and the El País account of the secretariat as of May 2024. It does not have a line labeled general counsel. Committees that wait for that line to appear will wait through the search. The IBEX mean of €1,404,000 moved from €1,265,000 the year before, on a headcount that moved from 380 to 397. Using the prior-year mean in a 2026 paper is a dated paper, not a conservative one.

The professional calendar sits beside the disclosure calendar and does not replace it. ICAM has called the III Encuentro Abogacía de Empresa with ICAB for 22–23 October 2026 in Madrid, on a page dated 6 October 2026. The meeting is where in-house departments compare how pay-range duties, board-secretary work and the year’s governance reports are landing. It is not a compensation survey, and a headcount of attendees would not be a wage even if the page printed one. The useful 2026 fact for a hiring company is the date: a general-counsel search that is open in October will be discussed in a room that has just been handed the September CNMV means and a June transposition deadline.

The secretary’s dual hat makes the October conversation sharper, and it still does not print a number. Twenty-three of 55 IBEX secretariat members led the legal function, on the El País account. Twenty-three percent of the 893 ICAM respondents acted as board secretary, which is a different base and a different year and must not be averaged with the 23 of 55. One figure is an IBEX secretariat census as of May 2024. The other is a share of a college in-house study reported in April 2025. Both say the same structural thing: in Madrid the lawyer and the secretary are often one person, and the wage of that person is still not a line in the directors’ report.

06 Closing the hire

Price the seat on a printed instrument, then run the search on two clocks.

The Madrid in-house line has a typical window of 4 to 7 months, a 32 percent counter-offer incidence, and 14 working days from offer to signature. Files that ran long had priced the seat as a directorship.

Of 15 closed Madrid in-house searches over the trailing three years, 11 were in companies of more than 250 staff. 9 were general counsel, head of legal or deputy seats. 6 were specialist counsel. 4 of those 9 ran past the 7-month end of the typical window. The other 5 closed inside it. 6 of the 15 stopped after a shortlist was already in hand, while the company waited for a Spanish legal instrument to land. That stall is a miss in the opening of the search, and it sits on this line’s own record. Counter-offer incidence on the line is 32 percent. Median offer-to-acceptance is 14 working days. Completion is 93 percent. The line has been worked for 5 years. The typical search runs 4 to 7 months.

2 of the 9 general-counsel-level files needed a second offer. Both sit among the 4 that ran past the 7-month end. In each, the first number had been taken from the directors’ report. The defensible comparator was the alta dirección mean. The searches that ran long had priced a director’s chair.

Two composites from that set of 9, described by role and company type only. An IBEX energy group hiring its first general counsel and board secretary closed in 6 months. The seat was the first combined general counsel and secretario del consejo at that group. It is one of the 5 that stayed inside the 4-to-7-month window. The hire was a first general counsel, and the company did not already employ one. A Madrid-headquartered bank hiring a general counsel ran 9 months. The first offer was set equal to the all-listed executive-director mean of €2.4 million. The person was not an executive director. The file is one of the 4 that ran past the 7-month end, and one of the 2 that needed a second offer before anyone signed. No employer and no lawyer is named.

Of those same 88 respondents, over the same 24-month window, 72 said the last in-house replacement took more than 12 months from budget approval to a start date. That clock starts when someone asks for budget. It ends when someone starts. The search itself runs 4 to 7 months. A company can approve a seat in January, open the search in October, and still close inside 7 months of the opening. The 12-month figure and the 7-month figure measure different intervals. The 88, the 72, the 61 and the 54 are separate questions put to one group.

One of those 88, a general counsel at an IBEX-listed energy company, said: “The first paper the committee circulated used the executive-president mean. I am not the president, and I am not a director.” The IBEX executive-president mean in the 2025 directors’ report is €8,874,000. That is the figure a paper of that kind had reached for. A chief people officer at a Madrid-headquartered infrastructure group, outside that group of 88 lawyers, said: “We had budgeted a board-director package. The person we wanted was alta dirección, and that number is not in the directors’ report.”

The firm-wide map covers 1,480,000+ lawyers. It does not contain a Madrid general-counsel wage. When a Madrid board asks for a distribution of what listed-company general counsel earned in 2025, the record we can put on the table is section 02, the gap in section 03, and a search that runs 4 to 7 months when the first offer is an alta dirección mean.

If you are the company putting this lawyer on the payroll, the next conversation is a search brief. Sartori’s in-house counsel recruiting desk and the general counsel search practice run that brief. The research method is on the methodology page. The wider Madrid hiring picture, including why seats wait on a statute, is on legal market Madrid 2026.

  1. Name the instrument Alta dirección mean, executive-director mean, authorized maximum, or a committee number that will never be printed. A brief that cannot name the instrument is not a brief.
  2. Separate the secretary Say whether the seat is a general counsel, a combined general counsel and board secretary, or a specialist under a general counsel who is staying. Those three jobs do not share a cash line.
  3. Hold the first number The offer that matches the instrument is the offer that can be signed inside the window. A director’s mean on a non-director’s seat is how a second offer starts.

Madrid general counsel pay: common questions

What is a general counsel salary Madrid figure in 2026?

€1 million funds 0.71 of one 2025 IBEX senior-manager mean of €1,404,000. The Comisión Nacional del Mercado de Valores published that mean on 21 September 2026 in its corporate-governance report: 397 IBEX alta dirección members, mean remuneration €1,404,000, against €1,265,000 in 2024. At the European Central Bank reference rate of 11 September 2026, €1 = $1.1592, that mean is $1,627,500. The same million euros funds 1.12 seats at the all-listed alta dirección mean of €891,000 and 1.88 seats at the non-IBEX mean of €533,000. None of those three means is a count of people titled general counsel.

How many seats does €1 million fund at the CNMV's own 2025 rates?

At the president's authorized maximum of €184,017.40, €1 million funds 5.43 seats. The derived director-general average is €172,523.83, from a €690,095.32 pool across a mean headcount of 4, and €1 million funds 5.80 seats at that average. The consejero maximum of €159,713.82 funds 6.26 seats. The vice-president's authorized maximum is €184,014.60. These are regulator posts under the maxima the CNMV page, updated March 2026, sets out. The Director General of the Legal Service, appointed 1 September 2025, sits inside the four-person average. That average is not the legal director-general's own line.

Why is listed-company general counsel pay missing from the directors' report?

Of 88 Madrid general counsel and heads of legal, 61 said their cash is absent because they are not directors. The segment is general counsel or head of legal at companies of more than 250 staff, over a 24-month window. Spanish listed-company reports price directors. Ley de Sociedades de Capital article 529 octies lets the board appoint a secretary who is not a director, after a nominations-and-remuneration committee report. El País, on 3 December 2024, reporting Esade as of May 2024, wrote that 23 of 55 IBEX secretariat members also led the company's legal function. The dual hat does not put the wage into the directors' table.

What does the ICAM in-house study say about the title, and does it give a wage?

ICAM's 2025 study of 893 in-house lawyers found 39 percent titled director jurídico, and it published no wage. Diario Jurídico reported the study on 23 April 2025. Mean age was 46.9. Sixty percent had more than 11 years in the role. About 7 in 10 had come from law firms. Eight in 10 worked exclusively in-house. Sixty-eight percent worked in large companies. Seventy-eight percent held senior responsibility, split evenly between director jurídico (39 percent) and senior lawyer (39 percent). Twenty-six percent sat on the management committee. Twenty-three percent acted as board secretary. The study is a role census. It is not a 2026 salary table.

How long does a Madrid general-counsel search take to close?

A typical file on this in-house line closes in 4 to 7 months. Median time from offer to signature is 14 working days. Of 15 closed Madrid in-house searches over three years, 9 were general counsel, head of legal or deputy seats, and 4 of those 9 ran past seven months. Completion on the line is 93 percent. Counter-offer incidence is 32 percent. 6 of the 15 stopped after a shortlist already existed, while the company waited on a Spanish legal instrument. The signature was not the slow part.

Must a Madrid general counsel also be the board secretary?

No: 23 of 55 IBEX secretariat members also led the legal function, El País reported on 3 December 2024. The same account, drawing on Esade as of May 2024, said every IBEX 35 company has a secretario del consejo, 20 also have a vicesecretario, and only two still keep a separate letrado asesor. Nineteen of the 55 were Abogados del Estado on leave from the corps. The secretary's profile was legal in 96 percent of cases. Article 529 octies requires the board to appoint the secretary. It does not require the appointee to be the general counsel, or a director.
