›Fund tax lawyer recruiter
Fund tax lawyer recruiter searches are retained mandates for partnership and fund tax lawyers at law firms and fund sponsors. The IRS counted 4,575,280 partnership returns for tax year 2023. SEC Form PF reported 27,682 private equity funds and $8,523 billion of net asset value in the fourth quarter of 2025. Public Law 119-21 became law on July 4, 2025. Sartori & Partners has run 16 partnership and fund tax searches since 2021. A New York private-equity sponsor hired a fund tax counsel in 14 weeks.

A fund tax lawyer recruiter is hiring for a narrow book inside tax. The lawyer drafts and negotiates the tax terms of a limited partnership agreement, allocates profits and losses under section 704(b), tracks section 704(c) layers when a partner contributes appreciated property, and adjusts inside basis under section 743(b) when a partnership interest is transferred. The same lawyer reads a profits interest against section 1061, tests a management-fee waiver under section 707, and decides whether a blocker, a parallel fund, or an alternative investment vehicle changes the tax result for a taxable, a tax-exempt, or a non-US investor. Fund formation counsel can paper the vehicle. This seat decides what the vehicle is allowed to allocate.
The IRS Statistics of Income bulletin for tax year 2023, published in the Fall 2025 bulletin, estimates that partnerships filed 4,575,280 returns, up 1.7 percent from 4,500,186 in tax year 2022. Those returns represented 30,239,463 partners. Partnerships passed through $2,099.4 billion of total income less total deductions, down 17.9 percent from $2,558.0 billion the year before. The filing population is enormous. The slice that needs a fund tax lawyer is not. Partnerships with at least 100 partners were 20,021 returns, about 0.4 percent of partnerships, and those returns covered 10,733,421 partners, 35.5 percent of all partners. Partnerships reporting $100 million or more in assets numbered 60,977.
Finance and insurance is where fund vehicles sit in that dataset. The sector filed 490,731 partnership returns in tax year 2023, up 8.5 percent from 452,181, and it accounted for 59.9 percent of partnership assets. The bulletin puts that asset stock at about $34.3 trillion, up from $30.9 trillion, inside a partnership total of $57.3 trillion, itself up 9.1 percent from $52.5 trillion. Within finance, the line "funds, trusts, and other financial vehicles" was 77,596 partnerships, up 10.7 percent from 70,068. Real estate and rental and leasing was still half the filing count: 2,320,939 partnerships, 50.7 percent. A real estate fund tax lawyer and a buyout-fund tax lawyer are not interchangeable, and a search that treats them as one pool mis-hires.
Sartori & Partners' market map covers 1,480,000+ lawyers. Partnership and fund tax is one brief inside that map. It is not a second census, and it does not publish a headcount of fund tax lawyers. The parent practice is tax recruitment. The adjacent formation practice is fund formation.
Live tax roles.
These are tax roles we can share. Partnership and fund tax mandates are often confidential and will not all appear here.
Five hiring categories, and they do not share a shortlist.
The same résumé word, tax, covers five buyers. The mandate fails when the shortlist is built from the wrong one.
Law firm tax groups
Firms hire lateral partners, counsel, and senior associates into a tax group that already sits next to fund formation, private equity, or investment management. The partner hire is underwritten on a portable book of sponsors, not on a general corporate-tax reputation. The counsel or senior associate hire is underwritten on whether the lawyer has been the person in the room for the tax appendix, the distribution waterfall, and the side-letter tax covenant, or has only reviewed someone else's draft. Conflicts and client-consent run before any approach. A group lift is a different search from a single lateral, and it is scoped that way from the first call.
Private equity and private credit sponsors
The management company hires a head of tax or a fund tax counsel who reports to the chief financial officer or the general counsel. The work is the fund documents, the carry vehicle, co-invest, and the tax terms of a continuation or a GP-led secondary. It is not the portfolio company's operating-company tax return, which is a corporate tax seat. Sponsors hire when a fundraise, a successor fund, or a regulatory exam exposes that outside counsel is carrying the judgment the CFO wants in the building. Where the seat is the general counsel of the sponsor rather than the tax specialist, the search is private equity general counsel or asset management general counsel.
Hedge fund and multi-strategy managers
Hedge fund tax counsel is a different statute mix: trader versus investor, section 475, offshore feeders, and the tax character of financing trades. A lawyer who has only closed buyout funds will not clear a multi-strategy tax seat, and the reverse is also true. Hiring managers ask for years on a named strategy, not for "funds experience." We treat that as a filter, not as a preference.
Real estate and infrastructure fund sponsors
Real estate partnerships are the volume of the IRS file, and the tax issues are FIRPTA, depreciation recapture, promoted interest, and joint-venture waterfalls with operating partners who are not financial sponsors. Infrastructure funds add tax-credit and partnership-flip structures. A search for this category starts from lawyers who have closed those vehicles, not from the finance-and-insurance count above.
Institutional limited partners
Pensions, endowments, insurers, and funds of funds hire tax counsel to read what the sponsor's counsel drafted: K-1 timing, UBTI and ECI blockers, most-favored-nation tax side letters, and the cost of a transfer. These lawyers rarely carry an origination book. Firms that score them as if they were lateral partners with portable business will reject the right candidate, and sponsors that score a law-firm partner as if the person will sit quietly on K-1 review will do the same in reverse.
What is pushing the hiring, with the date on the figure.
Demand is not one cycle. Filing volume, reported fund counts, deal value, and a July 2025 statute are moving at different speeds.
The partnership audit rules are already the operating system. The same IRS bulletin notes that the Bipartisan Budget Act of 2015 created a centralized partnership audit regime for partnership tax years beginning after 2017, with the adjustment and the tax at partnership level. Every fund tax lawyer hired since that effective date has had to live with push-out elections, imputed underpayments, and partnership representative clauses in the limited partnership agreement. That is background. It is not a 2026 spike. It is why the clause is still in the form.
The 2025 statute is the live drafting change. Public Law 119-21, the reconciliation act, became law on July 4, 2025. Congressional Research Service report R48611 describes section 70602 as a rewrite of the section 707 rule for payments to partners for property or services. The prior text applied a recharacterization "under regulations prescribed" by the Secretary. The new text applies it "except as provided" by the Secretary, for services performed and property transferred after the date of enactment. Fee waivers, guaranteed payments dressed as allocations, and related-party services inside a management company are the documents fund tax lawyers are being asked to re-read. The same report says section 70105 makes the section 199A deduction permanent. The deduction remains 20 percent of qualified business income. For tax years beginning after December 31, 2025, the phase-in range widens from $50,000 to $75,000 for single filers and from $100,000 to $150,000 for married filers, and a taxpayer with at least $1,000 of qualified business income gets a $400 minimum deduction. Pass-through sponsors and their individual partners will ask for that modeling in 2026 returns. Specified service trades or businesses remain limited. A law firm that is itself a partnership is not in the same position as the fund it advises.
CRS report R48611's account of the tax title describes the section 707 and section 199A changes and does not describe an amendment to section 1061. The IRS section 1061 reporting FAQs still state the rule as enacted in the Tax Cuts and Jobs Act: for taxable years beginning after December 31, 2017, certain net long-term capital gain allocated on an applicable partnership interest is recharacterized as short-term unless the asset was held for more than three years. Final regulations (T.D. 9945) were published in the Federal Register on January 19, 2021. A brief that assumes section 1061 changed in Public Law 119-21 is ahead of that CRS account. The three-year holding period is still the working rule, and the lawyer who can apply it to a continuation vehicle is the person on the shortlist.
Reported fund counts rose while new capital got harder to raise. SEC Form PF statistics for the fourth quarter of 2025 count 27,682 private equity funds, up from 25,124 in the fourth quarter of 2024, and 58,891 private funds of all types, up from 53,925. Private equity funds reported $8,523 billion of net asset value. Only SEC-registered advisers with at least $150 million in private fund assets under management file Form PF, so the tables are not a census of every sponsor. They are the regulated core. PitchBook's 2025 Annual US PE Breakdown, on the publisher's report page, puts US private equity deal value at nearly $1.2 trillion, with 150 transactions over $1 billion contributing $567.8 billion, and record dry powder of $1.1 trillion. Fundraising on that page is described as the weakest since 2020. Abbott Capital Management's year-end 2025 overview, citing that PitchBook breakdown, puts US private equity fundraising at $278 billion across 327 funds, down from $382 billion in 2024. More reported vehicles, slower fundraising, and a heavy deal year is a tax-lawyer market: amendments, continuations, and portfolio acquisitions, not only first-close formations.
The market note that sits next to this practice is private credit, funds, and private equity as one partner-demand cluster. Tax mobility, which is a different constraint, is in tax lawyers: low mobility, high market value. Fund-finance counsel, who document the subscription line rather than the allocation, are covered in fund finance and subscription-line counsel.
What a credible fund tax lawyer has actually closed.
Titles overlap. The file does not. These are the matters we ask about before a name goes on a shortlist.
Formation tax is the base layer: entity choice, the general partner and the management company, the carry vehicle, exemptions from registration that the tax lawyer must not break, and the investor tax representations. A lawyer who has only done the securities draft of the limited partnership agreement has not done this job. Fund formation recruiters cover that securities seat. Partnership and fund tax recruiting covers the tax seat beside it.
Operating complexity is the second layer. Section 704(b) capital accounts, targeted allocations that do not match capital accounts, section 704(c) traditional, curative, and remedial methods, and section 743(b) adjustments on a transfer are the vocabulary. Hot assets under section 751 change the character of a transfer that the fund-formation lawyer described as a simple assignment. Liability allocations under section 752 change whether a partner has enough basis to take a loss. If the candidate cannot walk through one closed example of each, the seniority on the résumé is not the seniority of the seat.
Investor-specific work is the third layer. Tax-exempt limited partners care about unrelated business taxable income. Non-US limited partners care about effectively connected income and, on real estate, FIRPTA. A blocker corporation, a parallel fund, or an alternative investment vehicle is a product choice with a tax reason. Side letters that promise a particular tax covenant have to be possible under the partnership agreement, or the most-favored-nation clause spreads a promise the fund cannot keep.
The fourth layer is the life of the fund after the first close. Recycling, follow-on investments, a continuation vehicle, a GP-led secondary, and a partial realization all reopen the waterfall and the holding period. Section 1061's three-year rule, still the IRS's stated rule, is where continuation vehicles create arguments. Lawyers who have only done year-one formations are incomplete for a sponsor that is in harvest. Lawyers who have only done controversy are incomplete for a formation. Tax planning and controversy is the sibling practice; controversy before the IRS is not this shortlist unless the mandate says so.
What is published, and what a survey does not print.
Associate cash at matching firms is a scale. Partner and in-house fund tax pay is not.
Bloomberg Law reported on June 2, 2026 a matching-firm associate base scale of $235,000 to $455,000, effective July 1, 2026. A fund tax associate at a firm that matches that scale is paid on class year, the same way a corporate associate is. The scale is not a premium for partnership tax, and it is not an offer. The class-year table, and what it does not include, is on tax attorney salary 2026 and on the BigLaw associate salary scale.
Partner compensation is a share of profits, a guarantee, or both, underwritten on the book and on conflicts. There is no published partnership-and-fund-tax partner median that we will treat as a market. Firm-wide partner economics are a different question, set out in law firm partner salary 2026, equity partner salary 2026, and profits per partner 2026. Those pages do not isolate this specialism. Using them as a fund tax quote produces a number the data does not support.
In-house fund tax pay is a seat inside a sponsor, usually base, bonus, and sometimes carry or a phantom carry. National in-house surveys do not print a partnership-tax specialty dollar. We do not invent one. A company pricing the seat should start from the role, the assets, and the reporting line, then test candidates against that seat. A confidential read on a live requisition starts at a conversation or at hiring contact.
Our fee does not vary by the specialism. Searches are retained only. The fee is 25–30% of the hire's total first-year compensation. The retainer is 30% of the fee, paid at engagement and kept if the client cancels. Offer acceptance on retained searches is 96%. Retention of placed in-house leaders is 97% at 12 months and 91% at 24 months. An in-house search other than general counsel, chief legal officer, or chief compliance officer carries a 6-month replacement guarantee. General counsel, chief legal officer, and chief compliance officer searches carry 12 months.
How a partnership and fund tax mandate actually runs.
The firm-wide senior-counsel clock and this book's clock are different numbers. Both are stated.
Since 2021, Sartori & Partners has run 16 partnership and fund tax searches: 11 for law firms and 5 for sponsors hiring in-house. The median time to a shortlist on those 16 searches was 27 days. One of them closed when a New York private-equity sponsor hired a fund tax counsel in 14 weeks. The firm-wide senior-counsel shortlist is 18 days. The 27-day median is this book only. It is longer because the filter is a closed matter type, not a tax title.
The sequence is the retained sequence used on every search. The first week is the mandate: which of the five hiring categories, which fund strategy, which statute the person must have already used, and who is off limits. Mapping and private outreach follow. Nothing is advertised. A name does not leave us without the candidate's consent. Conflicts are checked before the first conversation, because a fund tax partner's book is a list of sponsors the hiring firm may already advise on the other side of a deal.
Candidates should assume the approach will be specific. We ask which waterfall you drafted, whether the 704(c) method was remedial or traditional, and whether a continuation vehicle was yours or a colleague's. A general tax résumé does not answer those questions. If you want a confidential conversation before any firm is named, use the candidate route. Companies and law firms use hiring contact.
We needed someone who had allocated carry through a continuation vehicle, not a general M&A tax partner.

Partnership and fund tax recruitment — common questions
What does a fund tax lawyer recruiter search for?
A fund tax lawyer recruiter searches for lawyers whose book is Subchapter K on investment vehicles: fund formations, portfolio acquisitions held in partnerships, profits interests, and continuation vehicles. Sartori & Partners has run 16 partnership and fund tax searches since 2021, 11 of them for law firms and 5 for sponsors hiring in-house. The median time to a shortlist on those 16 searches was 27 days.
Who hires partnership and fund tax lawyers?
Five categories hire this profile. Law firms hire lateral partners, counsel, and senior associates into tax groups that sit beside fund formation. Private equity and private credit sponsors hire a head of tax or a fund tax counsel. Hedge fund managers hire tax counsel for trader-versus-investor questions. Real estate and infrastructure sponsors hire partnership tax lawyers because real estate and rental leasing was 2,320,939 partnerships in tax year 2023, 50.7 percent of all US partnerships, in the IRS Statistics of Income. Institutional limited partners hire tax counsel to read Schedules K-1, side letters, and unrelated business taxable income.
How did Public Law 119-21 change partnership tax work?
Public Law 119-21 became law on July 4, 2025. Congressional Research Service report R48611 says section 70602 changes the section 707 standard for payments from a partnership to a partner for property or services, from language that waited on regulations to language that applies except as the Secretary provides, for services performed and property transferred after enactment. The same report says section 70105 makes the section 199A 20 percent qualified business income deduction permanent for tax years beginning after December 31, 2025, widens the phase-in ranges, and adds a $400 minimum deduction. The report does not describe an amendment to section 1061. The IRS still states that section 1061 requires a holding period of more than three years for certain carried-interest gain.
What do fund tax lawyers earn?
Bloomberg Law reported on June 2, 2026 a matching-firm associate base scale of $235,000 to $455,000, effective July 1, 2026. That is the cash base a fund tax associate at a matching firm is paid by class year. It is not partner compensation, and it is not an in-house fund-tax median. Partner economics and sponsor seats are on the salary pages linked from this practice. The fee for a retained search is 25–30% of first-year total compensation, and the retainer is 30% of that fee.
How long does a partnership and fund tax search take?
On the 16 partnership and fund tax searches since 2021, the median shortlist took 27 days. A New York private-equity sponsor hired a fund tax counsel in 14 weeks. Those two figures are this book's record. The firm-wide senior-counsel shortlist is 18 days, which is a different clock. Offer acceptance on retained searches is 96%.
